Legal Vice President

CAIS is building the first truly open marketplace for alternative investments, where financial advisors and asset managers can engage and transact directly on a massive scale. CAIS provides financial advisors with a broad selection of alternative investment strategies, including hedge funds, private equity, private credit, real estate, digital assets, and structured notes, allowing them to capitalize on opportunities and/or withstand ever-changing markets. Additionally, CAIS provides an industry leading learning system, CAIS IQ, that helps advisors learn faster, remember longer, and improve client outcomes. 

We are seeking a confident and driven lawyer to join our Legal & Compliance team as Vice President. This role will report directly to the General Counsel and can have a hybrid schedule with flexible working hours. As part of a nimble firm and unit, the Legal Vice President will have exposure to an array of legal initiatives, with a focus on fund structuring, formation, and management. The right candidate will have the opportunity to grow into a commercial, external-facing role that utilizes creativity and innovation to negotiate agreements with major alternative funds, enterprise clients, and third-party vendors.

Responsibilities:

• Form, maintain, and oversee private investment vehicles to be added to the firm’s feeder fund program, including drafting offering memoranda, operating agreements, and subscription agreements
• Collaborate with Product and Research teams to innovate on product and structuring options
• Conduct due diligence on all third-party fund documentation to determine fitness and eligibility for the firm’s platform
• Manage the legal onboarding of proprietary funds and third-party funds to our platform in a highly organized, systematic way
• Review third-party fund marketing materials, fact sheets, investor communications, due diligence responses, and other fundraising and reporting documents from a legal, regulatory, and compliance perspective
• Draft and review complex transaction agreements and AML documentation for new clients on our platform
• Manage inquiries regarding our investor base including status of investors (accredited investors, qualified purchasers, etc.) jurisdictional questions, and fund operations
• Work collaboratively and productively with lawyers, compliance professionals, and finance professionals within CAIS and externally
• Review and maintain legal agreements, disclosures, and supporting documents for consistency
• Review, draft, and amend standard third-party vendor agreements and non-disclosure agreements
• Additional responsibilities to be determined based on capacity, skill, and interest

Qualifications:

• 2-3+ years of legal experience in the Investment Management Group at a top 100 Law Firm
• Active member of the New York State Bar
• Prior experience working in wealth management preferred
• Series 7 and Series 24 preferred
• Ability to independently execute instructions with great attention to detail and consistently provide high-quality work product
• Exceptional organizational, multitasking, and time management skills
• Strong writing, editing, and verbal communication skills
