Manager, M&A Technical Accounting

The Manager, M&A Technical Accounting role is a part of the Global Technical Accounting team within the Accounting & Reporting function and reports directly to the Senior Director of Technical Accounting & External Reporting. This role is an accounting position specifically focused on M&A accounting, financial due diligence and integration. The ideal candidate is diligent, organized, and on top of the details-and knows accounting like the back of their hand.
Lead Responsibilities:

• Leading the Accounting team's financial due diligence, technical accounting and post-close integration activities for M&A transactions.
• Supporting ad hoc reviews of acquisition, JV, Strategic Partnerships and Equity Investment opportunities.
• Being a key liaison with Corporate Development, Legal, External Valuation Specialists, and the Company's External Auditors for M&A transactions.
• Collaborating with Legal, Tax, Corporate Development, and other functional areas, as well as outside parties, to understand the accounting, process and systems implications of M&A and other strategic transactions.
• Documenting technical accounting conclusions in comprehensive accounting memos in accordance with ASC 805 and other relevant guidance.
• Completing the opening balance sheets, including working with the valuation experts as required for all business combinations.
• Assisting cross functional teams including Tax and the GL Accounting team to ensure M&A transactions are properly recorded .
• Reviewing and providing feedback on legal agreements related to M&A and investment activities, including term sheets, share purchase agreements, transition service agreements, and joint venture agreements.
• Assisting management with making critical business decisions by providing the accurate accounting treatment and impact analysis.
• Supporting the quarterly close process and related ASC 805 financial statement disclosures.

Required Education / Experience / Skills:

• Big 4 (or other nationally recognized public accounting firm) experience. Desirable to also have experience with tech industry or publicly traded companies beyond public accounting experience.
• CPA certification
• Demonstrated strong technical accounting skills and a comprehensive understanding of accounting, GAAP, PCAOB standards and SEC regulations.
• Demonstrated knowledge and experience with M&A transactions and venture investments.
• Demonstrated strong analytical, verbal and written communication and presentation skills.
• Demonstrated track record of attention to detail, time management and prioritization skills.
• Experience working directly with senior executives and building relationships with numerous diverse groups throughout a large organization.
• Ability to thrive under tight deadlines and high-pressure situations in a fast paced and dynamic environment.
