Managing Director Corporate Development, M&A, Integration
Job Description:

The Managing Director, Corporate Development will play a leading role in designing and executing various corporate development programs and initiatives to materially expand the reach of the company and its wholly owned subsidiaries. Work closely with company leadership and various business groups to evaluate strategic opportunities within existing and potential new businesses. Will develop an understanding of the company's key strategic gaps and be responsible for the strategic rationale for enterprise-wide merger, acquisition, and divestiture transactions.
What You Will Be Doing:
  • Work closely with the leaders across all business groups to discover, evaluate, propose, and execute on M&A transactions and investments
  • Collaborate with business and corporate leaders on functional and business unit strategy
  • Development of a team of financial analysts
  • Perform and compile research to identify growth opportunities, including sizing up the market, stack ranking companies in that market, and making recommendations accordingly within our core markets and for expansion into new markets
  • Build, manage, and nurture a viable pipeline of opportunities based on thorough financial modeling and analysis, and developing transactions budgets
  • Architect value and business financial models, and conduct valuation analysis for potential transactions
  • Develop and iterate on Indications of Interest (IOIs) and Letters of Intent (LOIs)
  • Provide pre-deal due diligence for all identified opportunities, including synergies, examining risks, and strategic alignment, while leading other cross-functional work streams
  • Drive post-LOI transaction execution by coordinating third party diligence partners related to Legal, Tax, Quality of Earnings, Technology and Commercial
  • Ability to handle complex negotiations while finding mutually-agreeable terms
  • Contribute to and implement M&A best practices from discovery through deal value recognition

What we are looking for:
  • Bachelor's degree in Science or Engineering field and a post Graduate Degree (MBA) are required
  • 5+ years of investment banking and/or private equity or venture capital experience, including a deep understanding of business strategy. Experience should be within technology, industrial, or manufacturing industry
  • Experience working in a top-tier strategy consulting firm and/or a corporate development team is preferred
  • 10+ years of total professional business experience
  • Proven success leading post acquisition integration activity
  • Subject matter expertise of technology markets. Technical expertise is not required, but advantageous
  • Strong demonstrated relationship/communication/influencing skills, needs to be able to influence at the VP/Executive level across the entire organization
  • Exemplary skill in peer influencing, indirect leadership, and cross-group collaboration skills
  • Proven ability of ownership of end-to-end transactions from ideation to post-close
  • Strong analytical and quantitative skills with expertise at creating financial models and conducting valuation analysis
  • Ability to effectively operate both in tactical areas and at a macro level
  • Strong project management skills, having managed and successfully completed diverse projects on time and on-budget
  • Strong cross-group collaborator with exceptional general management skills and the ability to lead teams effectively across business and functional areas

Annual Hiring Range/Hourly Rate:
- $350,013.13
Actual compensation offer to candidate may vary from posted hiring range based upon geographic location, work experience, education, and/or skill level. The pay ratio between base pay and target incentive (if applicable) will be finalized at offer.
