Mid-Senior Level Capital Markets Associate

Job Requirements
Ideal candidates will have 4+ years of experience in public and private equity offerings, including initial public offerings and follow-on offerings, proxy statements and S-4 registration statements in connection with business combination transactions, interfacing with the SEC and other regulators, and familiarity with the ongoing reporting requirements under the ’34 Act for public companies, including 10-Ks, 10-Qs, 8-Ks and proxy statements. Experience in representing both issuers and underwriters would be beneficial. Other experience, such as working with SPACs and REITs or with debt offerings, would be helpful.
Candidates also should have day-to-day experience counseling public companies, including with respect to corporate governance matters. Candidates should possess a strong academic background, client management skills and drafting and negotiation skills. Candidates must have the skills to retain and grow existing clients and relationships. Admission to one or more state bars is required.

Greenberg Traurig’s global Capital Markets Practice is recognized for its skill in handling U.S. and cross-border transactions, including initial public offerings, high yield, and investment-grade debt offerings, Rule 144A and Regulation S offerings for foreign private issuers, registered direct offerings, at-the-market offerings (ATMs), public and private equity line transactions, Special Purpose Acquisition Companies (SPACs), Real Estate Investment Trusts (REITs), and Private Investment in Public Entities (PIPEs). We represent U.S. and non-U.S. public and private issuers, as well as underwriters, financial institutions, venture capital funds, hedge funds, broker-dealers, investment companies, and private investment firms in all aspects of U.S. and cross-border securities offerings.

The expected pay range for this position is:

$200,000-$440,000

Actual pay will be adjusted based on experience, location, and other job-related factors permitted by law. Full time employees may be eligible for a discretionary bonus, health insurance with an optional HSA, short term disability, long term disability, dental insurance, vision care, life insurance, Healthcare and Dependent Care Flexible Spending Accounts, 401K, vacation, sick time, and an employee assistance program.
