Paralegal

This role will be the second legal hire reporting to the SVP of Legal.  This person will create and assist in managing Intellectual Property and contract processes, systems, and tools as well as being a critical member of the Legal team. 

Responsibilities:

Intellectual Property 

• Manage and organize all trademark and patent communications with outside counsel 
• Create outside counsel guidelines  
• Select and implement Intellectual Property asset management system 
• Select and implement patent disclosure tools and systems 
• Manage inventor paperwork and the inventor incentive program 
• Review outside counsel bills 
• Generate reports and slides for the executive team
• Docket internal deadlines and assist in organizing priorities 
• Develop and update Trademark Usage Guidelines 
• Assist in scheduling disclosures when needed

Contracts 

• Under the supervision of Counsel, manage a high volume of contracting complexities requiring strategic thinking, problem solving, communication, and prioritization skills
• Partner cross-functionally to support the development of contracting approaches for evolving business strategies
• Select and implement a contract management system 
• Create and implement the standard flows for contract administration including enforcing signing authorities 
• Be the first point of contact for NDAS, MSAs, MTAs, etc 
• Assist in standardizing contract templates 

• Evaluate current contracts to determine risks and necessary revisions resulting from changes in policy, strategy, legal guidance, new products, and divestitures
• Ensure contract terms and conditions are compliant with applicable law

Misc 

• Assist with developing training materials 
• Assist with other special legal projects and other administrative tasks on an as needed basis.

Minimum Qualifications

• Paralegal Certificate and/or Bachelor’s degree or equivalent combination of education and relevant experience
• Minimum of 5 years of experience as a paralegal with experience in both Intellectual Property and Contracts 
• Experience in technology and/or biotechnology industry is a plus
• Highly organized with strong leadership and project management skills
• Excellent communication and interpersonal skills
• Strong analytical and problem-solving skills
• Sense of humor is required

Pay Range: $110,000 - $120,000
