What You'll Do

The Principal, Assistant General Counsel, will provide legal counsel to internal business clients on both routine and complex matters regarding legal risk and specifically collaborating with internal clients to structure transactions, drafting language and agreements to address new offerings and strategic relationships, and negotiate transactions that meet OCC’s business objectives.

Primary Duties and Responsibilities:

To perform this job successfully, an individual must be able to perform each primary duty satisfactorily.

  • Draft, review and negotiate a wide range of technology-related agreements, including Software as a Service (SaaS), managed services, complex software licenses, vendor and other agreements.
  • Identify and manage risks and propose solutions to mitigate risks with respect to transactions, information security, privacy, operations and litigation.
  • The position will also support certain functional and inter-departmental legal matters, as assigned by Associate General Counsel.
  • Work closely with, outside counsel, as appropriate.
  • Perform other duties as required.

  • [Required] 5+ years of transaction-based legal experience at a law firm and/or in-house legal department with a focus on technology transactions.
  • [Required] Prior experience with Software as a Service (SaaS), managed services and software license delivery models.
  • [Required] Competency in structuring technology relationships and agreements with attention to detail and strong drafting skills.
  • [Required] Effective negotiator with strong business acumen and ability to serve as a business advisor.
  • [Required] Ability to collaborate across teams and functions, work independently and efficiently, manage multiple projects simultaneously under time pressure and consistently meet deadlines with high quality work product.
  • [Required] An ability to communicate complex and technical issues to diverse audiences, orally and in writing, to diverse audiences in an easily understood, authoritative, and actionable manner.
  • [Required] Ability to expeditiously identify and assess issues and provide legally sound recommendations consistent with good business practices and reason and to quickly shift priorities in response to changing and high-pressure business environment or priorities.
  • [Required] J.D. from accredited law school and licensed or qualified to practice law in the United States.
  • [Preferred] Experience working with regulatory agencies or regulated financial institutions.
  • [Preferred] Prior experience drafting, reviewing, and negotiating data protection and privacy-related agreements, including business associate agreements and data processing agreements.
