CLA is hiring a Private Equity and Transaction Services Senior based out of our Atlanta, GA office. The Senior will work closely with our clients and team members in providing financial analysis in connection with buy-side and sell-side quality of earnings due diligence engagements. This individual will provide insights to key decision-makers that help them increase value and reduce the risks and uncertainty inherent in transactions. This position has the flexibility to be fully in office or hybrid and based out of anyone of our Carolantaville Growth Network offices: Nashville, Atlanta, Raleigh, Winston-Salem, or Charlotte.
Responsibilities
- Lead and participate in quality of earnings due diligence engagements related to acquisitions by private equity investor groups and strategic corporate buyers.
- Analyze financial/operational results of targets through reviewing accounting records and conducting interviews with management.
- Prepare/evaluate pro forma financial information.
- Identify issues for purchase price reductions, deal structuring or deal termination. Identify post-acquisition action steps to achieve anticipated earnings/cash flow improvements.
- Evaluate effects of seasonality and cyclicality on cash flow requirements.
- Perform industry and company research. Correlate due diligence findings with client valuations.
- Schedule, delegate, and review the work of staff.
- Supervise, train, and mentor staff.
- Keep Manager or Principal informed of engagement status and issues.
- Proactively interact and communicate with clients to gather information to ensure timely engagement wrap-up.
Requirements
- Bachelor's degree in Accounting, Finance, or related field is required.
- Current CPA or eligibility to sit for the CPA exam is required.
- Two years of prior experience with an established public accounting or equivalent industry/professional services firm is preferred.
- Ability to travel to client sites which may also require infrequent overnight travel.
