Regulatory Counsel

The Regulatory Counsel will be deeply involved in building, establishing and maintaining the infrastructure for Grayscale Securities, LLC and Grayscale Advisors, LLC. The counsel will also be expected to engage with SEC, FINRA and internal stakeholders as Grayscale’s regulated entities grow their private placement, public quotation, ETF and ETP business lines.

The Regulatory Counsel should have minimum 5 years’ experience in a New York law firm financial institutions group, broker-dealer, registered investment adviser or regulatory agency or self-regulatory organization such as FINRA or NYSE.

Responsibilities:

• Provide advice based on research and in-depth understanding of Grayscale’s regulated entities with primary emphasis on the Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Exchange Act of 1934, and Securities Act of 1933
• Along with other key stakeholders from Compliance, Operations and Finance, assist in preparation and review of regulatory filings, such as registration statements; listing exchange filings; board materials; disclosures and financial and operational requirements
• Collaborate with relevant stakeholders in responding to regulatory correspondence and examinations
• Communicate and collaborate with leaders who also serve in an advisory or oversight capacity, such as Compliance, Finance and Operations, and develops the legal response/position for issues identified
• Lead and/or support routine processes or special projects, such as new rule implementation and business initiatives, on a cross-functional basis
• Stay up to date on changes in laws and regulations impacting the businesses and communicate to appropriate parties any changes to controls, policies, and procedures
• Work closely with the Compliance department to ensure proper implementation and execution of policies and procedures
• Maintain knowledge of SEC and FINRA rules on advertising, marketing and other communications
• Work with and manage outside counsel, legal and billing

Prior Experience/Requirements:

• JD from a top-tier law school
• 5+ years of experience practicing law related to the Investment Company Act of 1940 and the Securities Act of 1933. Deep understanding of investment company and exchange listing regulations
• Strong understanding of investment strategies and U.S. registered funds
• Ability to evaluate legal, financial, regulatory and reputational risk and escalate to executive management as needed
• Demonstrated ability to build relationships and work effectively with relevant regulators
• Experience working with a range of regulatory bodies (SEC, FINRA) is preferred
• Interest in digital currency and blockchain technology
• Advanced MS Office skills including MS Word and Excel
