SEC Reporting & Technical Accounting Manager
Job Description
Reports to: Sr. Corporate ControllerPosition Summary
We are seeking a highly skilled and experienced Manager of SEC Reporting and Technical Accounting to join our dynamic team. This key role will be responsible for overseeing the preparation and filing of all Securities and Exchange Commission (SEC) reports, ensuring compliance with accounting standards, and providing technical accounting guidance to various stakeholders within the organization. The ideal candidate will possess a strong background in SEC reporting, technical accounting, and financial analysis, along with excellent leadership and communication skills.
Primary Responsibilities
- SEC Reporting
- Take ownership of the preparation of key financial statements such as balance sheet, income statement, statement of equity and statement of cash flow.
- Lead the preparation and filing of quarterly and annual reports on Form 10-K and Form 10-Q, as well as other SEC filings, where applicable, in compliance with SEC regulations and deadlines.
- Collaborate with other stakeholders in the organization and external consultants in preparation of the quarterly earnings releases.
- Manage the coordination and review process with various internal stakeholders, including finance, legal, and external auditors, to ensure accuracy and completeness of financial disclosures.
- Stay updated on changes to SEC reporting requirements and accounting standards and ensure timely implementation of new rules and regulation.
- Technical Accounting
- Responsible for equity related technical accounting such as stock comp expense, stock modification evaluation, ESPP, performance-based stock awards and EPS calculation.ย ย
- Lead equity related projects such as Shareworks public platform migration and ESPP offering implementation.
- Evaluate the accounting impact of proposed or consummated transactions by researching and interpreting applicable accounting standards in accordance with US GAAP.
- Communicate implications to management and other relevant stakeholders and make recommendations.
- Document accounting evaluation and conclusions in accounting memorandums.
- Financial Analysis and Disclosure
- Manage monthly, quarterly and annual fluctuation analysis to provide management with business insights and trends.
- Lead the preparation of financial related disclosures within the SEC filings such as management discussion and analysis (MD&A).
- Assist with FP&A team in financial analysis by providing relevant financial reports and reviewing account coding of invoices.
- Internal Controls and Compliance
- Maintain and enhance internal controls related to SEC reporting and technical accounting processes to ensure compliance with Sarbanes-Oxley (SOX) requirements.
- Work closely with internal audit and external auditors to facilitate the audit process and address any control deficiencies or audit findings.
- Perform all activities in compliance with applicable regulations, Fractylโs policies and guidelines, including, but not limited to, timely documentation of activities and maintaining all required applicable training.
- Bring a โcan doโ spirit to work and deliver on other responsibilities as assigned.
Education or Certification Requirements
- BS in Accounting or related disciplines required; higher education and CPA strongly preferred.
Professional Work Experience
- Minimum of 5 years of progressive experience in SEC reporting and technical accounting roles, within a publicly traded company.
- Prior experience in public accounting firms, especially Big Four accounting firms, strongly preferred.ย
- In-depth knowledge of SEC regulations and US GAAP
- Applicable experience in biotech, pharmaceutical and/or medical device industries preferred.
- Prior vocational experience in related fields a plus (i.e. Co-Ops, Internships, Fellowships, etc.).
Qualifications and Skills
- Experience with DFIN Active Disclosure and Shareworks a plus.
- Strong analytical skills and attention to detail, with the ability to research and resolve complex accounting issues.
- Excellent written and verbal communication skills, with the ability to effectively communicate technical accounting concepts to non-accounting stakeholders.
