Securities & Corporate Counsel (Open to Remote)

The Team:

Enfusion’s Legal team is an international legal department of 8 attorneys who act as business forward and pragmatic partners to Enfusion’s entire business. We don’t find problems that act as hurdles to our business or strategy, but, rather, we proactively find solutions and bring a macro perspective that uniquely spans across all aspects of Enfusion’s operations. While our primary focus is on Enfusion’s legal operations, we work tirelessly to support Enfusion’s growth in a way that is both collaborative and risk sensitive. The Role:

Enfusion has an immediate opening for Securities & Corporate Counsel to join our legal team. The ideal candidate will have significant experience with SEC filings, governance and board matters, and a willingness to expand into other substantive areas to support business needs. He or she should be able to maneuver through complex matters, solve problems, and correspond with executive management with little guidance. The position will preferably be based out of Chicago, but can also be remote, and will report to the Assistant General Counsel, Securities and Corporate. 

What You’ll Do:

• Work closely with the Assistant General Counsel to assist in the preparation of 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports, and other SEC-related documents
• Assist with planning and hosting the Annual Meeting of Stockholders
• Assist with disclosures, including press releases, investor presentations and RFPs
• Assist with administering the Insider Trading Policy, 10b5-1 plans, and stock-based compensation
• Support the public company secretarial function, including drafting resolutions and assisting with the preparation of Board and committee materials 
• Lead the company’s subsidiary and affiliate entity management
• Assist in the drafting and review of procurement and other complex commercial contracts
• Support broader Legal team initiatives (e.g., priority-based work beyond securities and corporate law) 
• Support special corporate projects as they arise, such as debt, M&A and regulatory updates

What You’ll Need:

• At least 3 years of SEC reporting and securities law compliance experience; at least 3 years of law firm experience
• Admitted to practice and in good standing in Illinois or, if remote, another jurisdiction within the United States 
• Juris doctor from a reputable law school
• Strong communication and writing skills, with the ability to interact with C-level executives, both internally and externally, as well as the Board of Directors
• Analytically minded with a creative problem-solving approach
• Strong business acumen and ability to quickly exercise good business judgment
• Excellent responsiveness and attention to detail
• Self-starter with ability to thrive in a fast-paced, ever-changing environment
• Excellent interpersonal skills
• Background in technology or capital markets is a plus

The salary range for this position is between $140,000 - $145,000 + bonus + benefits.
