Securities Counsel

Xsolla is seeking an experienced Securities and Blockchain Counsel to join our dynamic legal team. In this role, you will provide expert legal advice on securities laws and regulations, with a focus on cryptocurrency, blockchain technology, and regulatory compliance. As part of a leading company in the gaming and fintech industries, you will work closely with internal teams to navigate complex legal landscapes, advise on token offerings and other blockchain-related financial products, and ensure compliance with federal and state laws, including SEC regulations. This role will be reporting to our Global General Counsel.

RESPONSIBILITIES

• Provide legal advice on securities laws and regulations.
• Ensure compliance with federal and state securities laws, including SEC regulations, California state regulations, and relevant industry standards.
• Experience with advising on a broad range of legal issues arising from cryptocurrency and blockchain technology.
• Conduct legal research and provide guidance on emerging legal issues related to securities and cryptocurrency.
• Advise on the legal aspects of token offerings, initial coin offerings (ICOs), security token offerings (STOs), and other blockchain-related financial products.
• Collaborate with internal teams, including finance, compliance, & product development, to ensure legal compliance and mitigate risks.
• Represent the company in interactions with regulatory bodies, including the SEC and other relevant agencies.
• Assist in the development and implementation of internal policies and procedures to ensure regulatory compliance.
• Experience with advising on ETFs, including regulatory filings and compliance and board matters.

REQUIREMENTS

• Active membership in the California or New York State Bar.
• Minimum of 5 years of experience practicing securities law, with a significant focus on cryptocurrency and blockchain technology.
• At least 3 years of professional experience in crypto (personal crypto engagement is not relevant).
• In-depth knowledge of federal and state securities laws, including SEC regulations.
• Proven experience advising on and handling securities offerings, including ICOs, STOs, and other blockchain-related financial products.
• Strong understanding of the regulatory landscape surrounding cryptocurrency and blockchain technology.
• Strong understanding of the regulatory landscape surrounding ETFs.
• Ability to communicate complex legal concepts clearly and concisely to non-legal stakeholders.
• Strong interpersonal skills and the ability to work effectively in a collaborative team environment.
• High level of integrity, professionalism, and attention to detail.
• Excellent analytical, research, and drafting skills.
• Experience working with or within regulatory agencies such as the SEC.
• Background in financial services, fintech, or a related industry.
• Familiarity with smart contracts and blockchain technology.
