Job Description
THE ROLE:
Global Rights is a division within Legal & Business Affairs focused on rights management, licensing, rights risk assessment, legal analysis, and compliance. The Senior Analyst, Global Rights works closely with our Global Content Sales team and their business activities. This position manages the process of accurate legal review and rights management entry of Digital and International Content sales agreements. These actions require an in-depth knowledge of complex media platform rights, review of license terms, and problem-solving skills, all within a quick turnaround time mandated by sales and finance.
The position is critical to multiple departments within the company as legal interpretation as well as data management affects sales availability, revenue and prevents costly litigation and business interruption. Such departments include: Global Content Sales, Digital Content Sales; Global Partner Services; Finance; and Royalty Accounting.
MORE ABOUT WHAT YOU'LL DO:
- Perform legal review and rights analysis of complex Digital and Global Content Sales agreements ("Deal Memo") including comprehension of holdbacks, first looks, new media/language/territory rights, run limits and unusual contract terms. Use deep knowledge of rights to understand rights grants, business terms and nuanced contract language.
- Manage the process of capturing the rights and terms into A+E's rights management database. Accurate legal analysis and system coding are essential to: 1) ensure the integrity of each sales transaction, 2) to verify that the current sales deal is not in conflict with a previous sales deal that is still in license and 3) to confirm that the underlying rights to the content are sufficiently cleared for the terms granted in the Deal Memo.
- Generate and review reports on the programs being offered that indicate:
- Rights Collisions - flagging programs that are restricted due to limitation of our rights to the program
- Sales Collisions - identifying programs that are restricted due to existing or future sales commitments to another client (ie. the channel or streaming platform).
- Collaborate with attorneys when changes in the agreements and amendments arise as well as identify any new content orders and update the system, as needed.
- Work with Director to perform extensive legal analysis on the Programming License Agreements ("PLAs") that govern the output deals of A+E's programs with our Channel Partners abroad. Such deals have layers of complexity and therefore, the Senior Analyst must understand the business needs and terms and fully capture data in the rights management database which affect sales and revenue.
- Provide management with requested reports, work on special ad hoc projects as needed with Technology, Finance and Legal.
