We are an active acquirer of DFMs and IFA’s in the UK, following an aggressive growth trajectory, having trebled in size from the initial acquisition of “GPP” under two years ago. Our strategy sees strong organic growth within the near term coupled with significantly larger acquisitions. We currently manage ten entities attracting taxation, mostly UK-orientated with exposure to Jersey and South Africa.
We are seeking a highly experienced and strategic Senior Commercial Contracts Lawyer to join the Group Legal Team with specialist commercial contracts expertise working within a regulated financial services organisation. The ideal candidate will provide expert advice, draft and negotiate a variety of third party supplier contracts and services agreements and support legal risk management across the Titan Group. This role involves close collaboration with senior management, working closely with the businesses and central functions and leading on all legal aspects in relation to advising on commercial contract matters and associated legal and regulatory issues.Â
This role can be based in London, Harrogate or Bristol.
Job Responsibilities
- Manage legal support in relation to all commercial contracts including material outsourcing arrangements in line with FCA requirements across the Titan Group.
- Carry out a variety of legal work and deliver tailored legal advice across the Advice, Asset Management, Settlement and Custody businesses and central functions such as HR, Marketing, Operations, Finance, Compliance and IT.
- Lead on the review, drafting, negotiating and structuring of a broad range of commercial contracts, including material and non-material outsourcing services agreements, goods and services, IT services agreement such as Cloud, SaaS arrangements and Intragroup Agreements.
- Work with the businesses and central functions at various stages of the contracting process and across the full contracting lifecycle.
- Supporting the pre-contracting processes (e.g. RFI’s/ RFPs) in line with best practices; drafting and negotiating commercial contracts; advising on legal issues in relation to contractual interpretation; assisting with contract renewals, termination and exit.
- Excellent stakeholder management skills and the ability to explain complex legal concepts in jargon free language.
- Prepare contract summaries, risk reports and other stakeholder briefing documents and materials.
- Offer legal advice on a wide range of strategic, business, legal risk management and regulatory issues and advising on all contentious and litigious matters involving third party supplier arrangements.
- Identify areas of legal risk and develop strategies and best practices to mitigate these.
- Lead and manage the development of the legal approach in relation to risk management for commercial contracts and assist with updating policies and procedures in relation to third party supplier management across the Group.
- Monitor and report on regulatory developments impacting commercial contracts, assisting with interpretation, advise management and staff of such developments and supporting the delivery of any resulting change (including any documentation and operational change)
- Provide training and guidance to internal teams on commercial contracts and associated regulatory developments and their impact on the businesses within the Group.
- Oversee / monitor more junior members of the team (as appropriate) and willingness to take on line management responsibilities.
- Lead, manage, draft, update and contribute to contract precedent templates and associated guidance material.
- Oversee and effectively manage and work with external legal counsel on commercial contracts and associated legal issues. Liaise and support the management of external legal counsel in line with targets and budgetary requirements whilst ensuring high-quality external legal support.
- Foster a culture of compliance and ethical behaviour across the Group.Â
Job Requirements
- Legal qualification: 6 + yrs PQE with commercial contracts experience working within a regulated financial services organisation
- In house experience is desirable but not compulsory
- A well rounded, broadly based and highly regarded commercial contracts specialist with first rate academic credentials, demonstrable intellectual abilities and an excellent career track record to date.
- An in-depth understanding of the financial services industry and demonstrable wide-ranging commercial experience
- A business oriented lawyer with the breadth of experience to cover a broad range of legal and commercial issues across the entire Group, individual business areas and central functions
- Ability to think strategically and creatively see legal issues in their wider context and advise accordingly.
- Excellent interpersonal and communication skills, strong organisational skills and judgement, excellent analysis, drafting and negotiation skills
- Self-motivated to drive delivery against objectives and an ability to work autonomously and manage own caseload effectively
- Willingness to learn and build good working relationships with internal stakeholders, identifying areas of improvement in relation to contractual documentation, policies, procedures and standards.
- Experience withing a regulated environment and working with Compliance colleagues on a wide range of issues including material outsourcing arrangements.
- Accustomed to operating in a high paced environment and with a successful track record of aligning legal priorities and business goals.
- An ability to provide incisive and proactive advice and sound commercial legal judgement.
