About the Role

Miro is looking for a motivated, business minded, and energetic in-house counsel to join our U.S. Commercial Legal team. This self-motivated individual should be comfortable working in a rapid-growth, fast paced environment and will be responsible for negotiating large dollar complex commercial transactions with Fortune 500 companies including those in highly regulated industries (e.g. finance and healthcare) in support of Miro’s Strategic sales team. The ideal candidate must be able to draft, redline and negotiate complex SaaS agreements and other contracts (e.g. Data Processing Addendums and Non-Disclosure Agreements) with little to no supervision. This role will be a critical part of the operational excellence in a fast-growing, market-defining startup.

What you’ll do
  • Draft, redline and negotiate large and complex outbound SaaS commercial agreements, with Fortune 500 companies, including those in highly regulated industries (e.g. finance and healthcare) integral to our business and in support of Miro’s Strategic sales team.
  • Draft, redline and negotiate Data Processing Addendums, as part of the SaaS Agreements.  
  • Possess a deep understanding of privacy laws and other regulations impacting global SaaS companies, like Miro, including CCPA and GDPR, and be able to translate that understanding into redlines and in conversations with Miro customers.
  • Become an expert in Miro’s unique product platform, security, operations and offerings to offer practical and strategic counseling related to sales contracts.
  • Continuously improve legal processes, procedures, and templates for a growing sales support function
  • Develop strong relationships and deliver quality training and other communications to the Sales team in order to operate as a business partner and to close deals efficiently.
  • Handle a variety of other demands and projects related to our operations that arise in a rapidly growing startup.
  • Experience integrating acquisitions is a plus.
What you’ll need
  • Active good standing status membership to the CA, TX or NY Bar (other Bar memberships considered) 
  • 7+ years of experience drafting, redlining and negotiating highly complex commercial agreements, including 5+ years negotiating SaaS agreements with Fortune 500 companies in support of sales.
  • Experience with privacy laws, data protection and information security as it relates to SaaS companies (e.g. GDPR, Schrems II, CCPA) and negotiating related terms, including Data Protection Addendums.
  • Ability to work a hybrid model out of our Austin, NY, LA or San Francisco hubs, with 3 days a week in office as our baseline. Miro will relocate the right candidate to Austin or LA to work out of those hubs, if necessary. 
  • Ability to operate independently with little to no supervision. 
  • Work collaboratively as a team player within the legal team, with internal business partners and with external counsel, as needed. 
  • Highly motivated, with the drive to work independently, manage and prioritize deals with deadlines.
  • A sense of urgency and empathy to work with colleagues to deliver effective communication and positive experience win a fast paced, changing environment.
