Senior Commercial Counsel - EMEA

About the Role

Fivetran is building data pipelines to power the modern data stack for thousands of companies.

We’re looking for a business-minded commercial attorney licensed to practice in Germany and with deep experience drafting and negotiating outbound SaaS and on-prem software agreements with leading global and domestic organizations as well as partnership agreements. The core focus of this attorney will be on go-to-market deal support but you will also be a business builder, and will help operationalize our corporate processes relating to revenue contract acquisition and support. This senior attorney will report directly to Director, Commercial Legal - EMEA based in Boston, MA, USA, and will be a key partner and liaison to other Fivetran departments and stakeholders whose interests are represented in the customer and partner contracts documents.  The successful candidate will have experience supporting both US and EMEA based accounts, partners and sales executives, particularly with Global 1000 enterprise prospects and customers.  The ideal candidate will be a critical individual contributor first and foremost.  This role will be based in Germany and will be 100% remote.

What You’ll Do

• Drafting and negotiation of customer agreements including:  master subscription agreements, NDAs, DPAs, BAAs, professional services agreements, amendments, exhibits, and other types of commercial agreements.
• Drafting and negotiation of partner agreements including:  reseller, distribution, referral, MSP, tech partner, professional services.
• Partner with cross-functional team members to identify and address contract matters/provisions impacting various departments including Security, Privacy, Revenue, Support, Professional Services, and other relevant departments to ensure contracts meet Fivetran policies and processes.
• Provide legal counsel and serve as a strategic business partner to internal clients including sales leadership.  
• Advising on and implementing best practices across the Commercial Legal function, including fallback positions on heavily negotiated topics and organizational and procedural efficiencies.
• Localization of contracting documents and processes in those countries within EMEA falling within the successful candidate’s region of responsibility.
• Responsibility for a wide range of key go-to-market projects across the department.

Skills We’re Looking For

• 8+ years experience as a lead attorney negotiating and drafting B2B SaaS and on-premise software agreements with domestic and international enterprise customers.
• Deep experience and familiarity of SaaS and on-premise software subscription and licensing structures as well as related data privacy and security matters.
• Prior relevant in-house experience required at both private and publicly traded companies, preferably in hyper-growth stage company(s).
• Experience supporting international go-to-market sales efforts.  Experience supporting EMEA based sales teams preferred but not required.  
• Player/coach ability and mentality.  This role will be an individual contributor with potential to manage junior team members (attorneys and/or non-attorneys).  Candidates with managerial experience will be given greater consideration.
• Team orientation first and foremost, with leadership skills that contribute to maintaining a positive (and fun!) team and company culture.
• Excellent judgment and integrity.
• Business judgment to apply right-sized and risk-adjusted approaches.
• Ability to work independently and closely manage multiple outside counsel across various time zones and deadlines, with the judgment to know when to outsource to outside counsel versus make a call internally.
• Curiosity that drives a desire to learn new contexts and communication styles; being self-motivated, creative and scrappy. 
• Comfort with fast-paced environments and openness to change. 
• Strong academic background and legal degree from a relevant university is strongly preferred.
• Licensed to practice law in Germany, including concluding your Rechtsreferendariat.
• Verbal and written fluency in German and English
