Position Overview

The Senior Contracts Manager within the Outset Medical Legal Department will work closely with the Vice President of Contracts, General Counsel, CFO, and other senior leaders to execute a commercial and corporate contracting process. It will also be available to support cross department work load spikes and other short term issues. Under minimal supervision, this position is responsible for contract negotiation with both customers and vendor agreements for contractual agreements consistent with Outset Medical’s business model to ensure company and legal compliance. In this role, the Senior Contracts Manager will administer and negotiate basic to complex customer, vendor and service agreements and monitor cost control using established procedures in order to develop and fulfill the organizations contractual requirements. The position will work flexible hours to accommodate business needs.

Essential Job Responsibilities

  • Responsible for drafting, reviewing, and negotiating basic to complex contracts, both customer and vendor, that establish business relationships with customers and/or partners.
  • Prepare contracts, amendments, statements of work for sales, working closely with both internal and external customers.
  • Optimize contract processes and procedures to increase quality and efficiency.
  • Consult on legal key points and commercial best practices, identifying areas of contract risk, developing appropriate risk mitigation terms, and elevating the level of commercial and legal expertise around contracting.
  • Analyze contracts to ensure compliance to company policy, government regulations, revenue recognition requirements, and other requirements.
  • Draft miscellaneous types of agreements, including customer, consulting, NDAs, services, BAAs, and vendor-type arrangements.
  • Build and maintain strong relationships with key partners, primarily Sales, Supply Chain, Logistics, Customer Service, and People Operations.
  • Interact directly with administrators, purchasing personnel and attorneys representing our customers and potential partners.
  • Work closely with privacy representatives to ensure privacy regulations, such as HIPAA, GDPR, etc., are fully complied with.
  • Generate reports on current status of existing agreements.

Required Qualifications

  • Bachelor’s Degree, preferably in Business Administration or Finance
  • Minimum 8+ years of experience in contract management with extensive, hands-on contract negotiation experience
  • Must have demonstrated success negotiating and closing sales and complex commercial agreement within the Technology industry

Desired Qualifications

  • Paralegal or JD is strongly desired
  • Healthcare or Med Device experience strongly preferred
  • Ability to effectively draft, negotiate and manage US sales and vendor contracts, including a solid understanding of common legal and business terms and conditions, and the ability to effectively explain one’s position on such terms, conditions, and risk to others.
  • Ability to work within and leverage cross-functional teams, build strong relationships, and be persuasive up, down and across the organization.
  • Excellent attention to detail and well organized.
  • Able to work independently, exercising good judgment, and to respond quickly to a variety of contract requests.
  • Ability to manage multiple priorities and demanding deadlines with good judgment and ensure timely completion of contracts with precision.
