Senior Corporate Counsel

This legal team member will report directly to the VP of Commercial Legal, and will be a key partner and liaison to other impacted Fivetran departments and stakeholders. The ideal candidate will be a critical individual contributor first and foremost, but shall have the ability to coach and lead junior legal team members. This role will be based on the US West Coast.
- Drafting and negotiation of domestic and international Partner agreements including reseller, referral, professional services, tech partners, marketplace and other partner/alliance agreements. Â
- Drafting and negotiation of inbound vendor/procurement agreements including:Â master subscription agreements, NDAs, DPAs, BAAs, professional services agreements, amendments, exhibits, and other types of commercial agreements.
- Oversight of real estate agreements and legal matters, including management of external real estate counsel.
- Legal support for the marketing team including drafting and negotiation of sponsorship agreements, event agreements, SPIFF programs, sweepstakes/contests.
- Overflow support for the direct GTM Legal team, negotiating and drafting Fivetran MSA’s and related revenue-bearing agreements.
- Partner with cross-functional team members to identify and address contract matters/provisions impacting various departments including Security, Privacy, Revenue, Support, Professional Services, and other relevant departments to ensure contracts meet Fivetran policies and processes.
- Partner with Procurement and Finance to optimize coordination and processes across the vendor lifecycle, including renewals.
- Advising on and implementing best practices across the Procurement and Partner Legal function, including fallback positions on heavily negotiated topics and organizational and procedural efficiencies.
- 10+ years experience as a legal lead negotiating and drafting vendor/procurement agreements with domestic and international vendors required.
- Experience and familiarity with SaaS and on-premise software subscription and licensing structures as well as general familiarity with related data privacy and security matters.
- Deep experience (8+ years) with supporting enterprise level B2B partner programs, including software distribution and referral programs required. Global experience a plus.
- Experience providing contracts and legal support to marketing teams.
- Prior relevant in-house experience required at both private and publicly traded companies, preferably in hyper-growth stage company(s).
- Experience supporting international procurement and finance teams. Â
- Player/coach ability and mentality. This role will be an individual contributor with potential to build and manage a regional team. Â
- Team orientation first and foremost, with leadership skills that contribute to maintaining a positive (and fun!) team and company cultureÂ
- Excellent judgment and integrity; ability to advise with nuance and a north star
- Business judgment to apply right-sized and risk-adjusted approaches
- Ability to work independently and closely manage multiple outside counsel across various time zones and deadlines, with the judgment to know when to outsource to outside counsel vs. make a call internally
- Curiosity that drives a desire to learn new contexts and communication styles; being self-motivated and creative.Â
- Comfortable with fast-paced environments and openness to changeÂ
- CIPP (US or EU) certification is a plus.
- JD and admitted to practice in at least one jurisdiction, with eligibility to become a registered in-house counsel in either California or Colorado preferred
