We’re looking for a Senior Corporate Paralegal to join our growing, dynamic and team-oriented Legal team..  As a Senior Corporate Paralegal you’ll be part of a cross-functional team whose mission is to lead IonQ on its journey to define and enable the world’s best quantum computers keep IonQ at the forefront of the industry. The ideal candidate will be a highly motivated self-starter familiar with corporate governance, public company disclosures, legal infrastructure building, and strategic transactions work.

As a senior corporate paralegal, you will be expected to:

  • Assist with general corporate governance, including preparing agendas, minutes and resolutions, and maintaining minute books and corporate records.
  • Assist with preparation and filing of quarterly and annual reports with the SEC.
  • Draft, distribute and manage annual Section 16 director and officer questionnaires.
  • Maintain updates to corporate governance policies and procedures, such as the code of business conduct and insider trading policy.
  • Manage requests for information and documents from our internal and external auditors, regulators, partners, and other stakeholders.
  • Maintain templates for standard agreements.
  • Provide general administrative support for legal and corporate compliance activities.
  • Monitoring and track outside counsel fees and expenses against budget.
  • Identify, design, and implement new processes and procedures to improve efficiency, productivity, organization and communication.
  • Support special projects as needed, including research, organization, and project management.
  • The ideal candidate will have experience leading or contributing to multiple simultaneous initiatives. You’ll be able to balance technical expertise and savvy with strong business judgment to make great decisions. You’ll strive for simplicity and demonstrate significant creativity and incisive judgment.

You’d be a good fit with:

  • 7+ years corporate paralegal experience at a law firm and/or in-house legal department (both preferred).
  • Excellent organizational skills and extreme attention to detail.
  • Ability to uphold the highest standards of discretion and confidentiality.
  • A positive can-do attitude, good judgment, and the ability to effectively manage competing priorities.
  • Strong written and oral communication skills.
  • Fast learner with low ego.

You’d be a great fit with:

  • Previous experience with Section 16 reporting, other SEC filings and compliance.
  • Notary Public certification a plus.
  • Familiarity with Google Workplace (G Suite), legal software tools, and board portals.
  • Experience in a start-up or rapidly growing environment.

Our HQ is located in College Park, Maryland and we are a 15 minute metro ride from Washington DC. We are actively building out teams in the Washington D.C., Seattle, and Boston metro areas and will want to locate you in one of these geographies. However, IonQ will be expanding into additional geographies both domestically and internationally so don’t let this stop you from applying.
