Job Summary
We are seeking an experienced, detail-oriented Senior Corporate Paralegal to join our legal team. The Senior Corporate Paralegal will play a crucial role in providing support to the business and legal department including but not limited to ensuring exceptional corporate governance, compliance, contract management, and regulatory oversight. The ideal candidate must have excellent organizational skills, strong attention to detail, and the ability to work collaboratively and efficiently in a fast-paced high-growth start-up environment.
Responsibilities
Contract Management: Will include the management and oversight of a wide range of contracts. Ownership and oversight of R-Zero’s CLM for sales and revenue contracts as well as manage non-revenue contracts through Asana.
- Provide ongoing operational support and collaboration with the sales team to ensure smooth effective and replicable sales contracting process - including but not limited to facilitating across Salesforce and DocuSign to drive a seamless sales process via the CLM. Â
- Working with the responsible Sales AE, take the lead on RFP and RFQ legal and administrative diligence including e necessary fact gathering, preparation of RZero initial response and own the draft with legal  through the process. Â
- Ownership of non-revenue agreements managed through Asana to respond to and triage requests as appropriate and involving legal for any non-standard terms or issues  including vendor agreements, non-disclosure agreements, and consulting agreements.
- Maintain a repository for all executed agreements and implement and track to a system to track contract status, renewals, and key dates, partnering with the responsible business owner.
Corporate Governance: Assist in the management of corporate governance matters, including the preparation and maintenance of corporate records, entity management and oversight including maintenance and oversight of annual reporting. Coordinate with internal stakeholders to ensure compliance with corporate policies and procedures and support the development of applicable SOPs to drive compliance.
Regulatory and Compliance: Â Track the filing dates and requirements and manage the preparation and filing of necessary regulatory documents, including but not limited to annual reports, business licenses, statements of information and applicable certifications and permits. Collaborate with internal teams to gather necessary information and ensure timely and accurate submissions. Â Working with the legal team, ensure compliance with applicable laws, regulations, and industry standards. Assist in the development and implementation of compliance programs, policies, and training materials. Conduct periodic compliance audits and assist with investigations when necessary.
Litigation Support: Provide support in litigation matters, including gathering and organizing relevant documents, coordinating with external counsel, and maintaining litigation files.Â
Departmental Support: Provide administrative support to the legal team, including managing calendars, scheduling meetings, maintaining legal files and databases, and oversee and calendar all legal invoices on a monthly basis for timely review, submit to A/P for approval and paymentÂ
Requirements
Bachelor's degree, ideally in Paralegal Studies or a related field. Additional certifications or coursework in corporate law is a plus.
Minimum of 7 years of experience as a corporate paralegal, both in-house and law firm experience.
In-depth knowledge of contract management, corporate governance and compliance.
Excellent organizational skills and the ability to manage multiple tasks and prioritize deadlines effectively.
Strong attention to detail and commitment to maintaining accuracy in work.
Exceptional communication and interpersonal skills, with the ability to collaborate effectively with internal stakeholders and external parties.
Proficiency in G-suite and applicable tools, software and databases.
Demonstrated ability to work independently and as part of a team in a fast-paced environment.
