Senior Counsel

Intrinsic is a team of consumer health experts, eCommerce operators and brand builders on a mission to accelerate products and ideas that make a difference in people's lives.

We have raised $115 million to acquire and grow eCommerce brands in the health and wellness space, targeting Amazon-native brands operating as third-party sellers.

Our investors include Define Ventures, Link Ventures and Tony Robbins. We were co-founded by Redesign Health, a pioneering venture studio in NYC that has launched over 20 healthcare innovation start-ups in the past three years.

As our Senior Counsel, you will drive all legal matters for an exciting startup bringing better health to families across the world and building a bridge from commerce to care. This is a unique opportunity to move out of big law, while maintaining a big equity upside. In this role, you will report to the CEO. This role will be based in our New York office on a hybrid work model (Tuesdays and Wednesdays in office).

Our legal department will be a one-person show for the foreseeable future, so you will have the opportunity to provide significant impact across multiple functional areas. In partnership with outside counsel, you will help guide Intrinsic on all corporate legal matters, including but not limited to: M&A, partnership and vendor contracts, corporate governance, employment and HR, data privacy, regulatory compliance, intellectual property and fundraising.

In order to be successful in this role, you will need to be “hands-on” without support from junior staff early on.

• Develop and execute the company’s overall legal strategy
• Drive the legal diligence as well as the negotiation and drafting of legal agreements for all M&A transactions
• Research & advise on all areas of potential risk, with special focus on health and regulatory compliance, and develop product liability mitigation strategy
• Partner with leaders across all functional areas, leading the negotiations and drafting of a wide range of contracts, including vendor, partnership, manufacturing, sales and all other third party contracts, while also serving as a thought leader and business partner on critical commercial decisions
• Independently manage our legal operations by coordinating and leveraging outside counsel to meet business objectives 

• Background
• M&A advisory experience
• Consumer Packaged Goods experience, preferably within consumer health (OTC Pharmaceuticals, Ingestibles, Beauty Products, etc.)
• Experience with product liability for Consumer Packaged Goods 
• NY State Bar Admission
• A demonstrable track record of quickly learning new areas of law and providing timely, effective, and strategic legal advice in a fast-paced environment where business priorities are frequently changing
• Demonstrated experience managing legal interests and competing business interests
• 6+ years of relevant experience at a top corporate law firm and/or in-house legal division
• 2+ years of management experience

• Skills
• Proven experience in M&A
• E-commerce, healthcare, and wellness experience is a plus
• Extremely detail oriented
• Ability to work independently with little guidance, as well as collaboratively in a collegial environment with business team members and outside counsel
• Ability to think through complex regulatory issues and translate legal literature into easily understandable reports
