Senior Counsel
Job Description
Our Company: ISN was established in 2001 and is a global leader in contractor and supplier management. We work closely with a variety of household-name clients in the US, Canada, Europe, Australia, Latin America, and the Middle East to connect them with safe and reliable contractors and suppliers and incorporate a level of due diligence in the contractor management process.
As part of a small and highly collaborative legal team, ISN's Senior Counsel will report to the General Counsel and will be responsible for and assist with the legal needs of the company’s various business functions. This position is expected to uphold the mission and values established by the organization.
Responsibilities
- Under the supervision of General Counsel and Assistant General, the Senior Counsel will perform a wide variety of attorney and counselor functions, including:
- Collaborate with business teams as the legal representative on all aspects of proposed business arrangements or product/service functionality developments
- Manage the drafting, review and negotiation of all types of business agreements
- Advise management and other internal stakeholders of the company on various legal, contractual and regulatory requirements, risks and responsibilities
- Coordinate with internal stakeholders and external advisors on a variety of business transactions and relationships, including acquisitions, stockholder/option holder relations, debt facilities, etc.
- Performing such functions will involve varied activities, including:
- Research and provide guidance for management and Board on legal, regulatory and compliance issues (including data privacy)
- Examine and provide recommendations regarding legal issues related to new products and services
- Assist with company legal matters domestically and internationally
- Liaise with outside counsel (both domestic and foreign)
- Maintain corporate records and contract database
- Track and recommend ongoing process improvements to manage risk and add value to the company’s operations and to legal processes
- Develop and draft company policies and assist with employee relations matters
Requirements
- Bachelor’s degree and J.D. (or equivalent) from accredited universities
- Licensed to practice law (State of Texas preferred)
- 3+ years' experience with sophisticated business relationships, transactions, and advising roles
- Impeccable ethics and integrity
- Strong analytical and critical thinking abilities
- Excellent verbal and written communication skills
- Excellent organizational skills and attention to detail
- Strong negotiation skills
- Excels in an environment with fast pace and high expectations
- Proficient with Microsoft Office Suite, Workshare, and document/contract management software
- Ability to work on multiple tasks simultaneously
