Enviva’s Legal team is seeking a commercially oriented Senior Counsel with an entrepreneurial spirit to provide legal support company-wide, with a focus on public company reporting and governance. The Senior Counsel will report to Enviva’s Senior Vice President, Deputy General Counsel, and Secretary and be located in the company’s headquarters in Bethesda, Maryland.
Responsibilities
- Support financial reporting team in preparation of ’34 Act filings, including 10-Qs, 10-Ks, and 8-Ks, and lead legal review of same
- Participate in all public company (NYSE : EVA) Board and Committee meetings and assist Secretary with preparation of minutes and written consents
- Support investor relations and communications teams with SEC regulatory and compliance matters arising in earnings releases, investor presentations, and other communications
- Support capital-raising activities led by finance and development teams, including public equity and debt offerings, bank credit agreements, municipal bonds, and development tax credits and other incentives
- Provide legal advice and support, in alignment with the team’s guiding principles and together with existing team members, across the full range of legal issues affecting a global renewable energy company
- Prepare Section 16 filings and other SEC filings
- Supervise outside counsel retained for each of the foregoing
- Lead entity management for the public company and its joint ventures and subsidiaries, including maintenance of organizational documents, resolutions, and other records
- Coordinate and supervise all logistical and other aspects of Board and Committee meetings, including the collection and compilation of docket materials and Board member travel arrangements
- Identify and analyze legal issues and risks, present clear recommendations, and ensure legal compliance across the full spectrum of legal issues facing the company
- Participate in establishing the company’s legal policies, goals, and objectives
QualificationsÂ
- J.D. from an accredited law school; must be licensed to practice in at least one state
- 3+ years’ relevant experience with an international law firm representing clients in the traditional or renewable energy space
- Experience with SEC reporting for U.S. public companies and related regulatory framework (e.g., Reg G and Reg FD)
- Commitment to bringing practical and commercially oriented judgment to bear in solving legal problems
- Exceptional attention to detail
- Self-starter with ability to work under pressure, manage multiple projects and competing priorities, meet deadlines, and adapt to change in a growing company
- Demonstrated experience establishing credibility and rapport with executive-level management
- Strong competency in drafting and negotiating a broad range of commercial contracts
- Proficiency in communicating with commercial team members in a clear, yet practical, commonsense manner; a businessperson’s lawyer rather than a “lawyer’s lawyer”
