Senior Counsel
Job Description
The Senior Counsel provides legal support to the company's corporate governance, corporate compliance, procurement and investment strategy-related functions. The Senior Counsel partners with, counsels and advises departments and business leaders on contract and transactional aspects of the business to contribute to its financial and operational success.
Essential Duties and Responsibilities:
- Drafts, reviews and negotiates a variety of vendor contracts and other contracting documents (MSAs, SaaS agreements, consulting agreements, lease agreements, Scopes of Work).
- Drafts, reviews and negotiates non-disclosure agreements.
- Collaborates with outside counsel as needed regarding vendor contract negotiations.
- Corporate Governance Responsibilities:
- Facilitates communication between the Board of Directors and the Company.
- Drafts Board meeting minutes and create board meeting books.
- Drafts Board action documents such as consents and resolutions.
- Maintains and updates Board-related document files and records.
- Collaborates with outside counsel regarding corporate governance-related documents.
- Corporate Compliance Responsibilities:
- Drafts, reviews and submits annual, quarterly and subject matter-based regulatory filings and coordinates the submission of these filings with outside counsel, as needed.
- Provides requested corporate governance and compliance-related documents to both internal and external auditors.
- Drafts and provides documentation for KYC and AML-related disclosure and compliance requirements.
- Provides colleagues with advice and resources regarding general legal and corporate governance-related inquiries.
- Reviews and negotiates engagement letters for auditors and outside counsel.
- Collaborates with legal and compliance colleagues as well as outside counsel in responding to routine examination-related requests from regulators.
- Collaborates with external stakeholders regarding the completion of the investment management-related counterparty agreements and related responsibilities on behalf of the Company and its subsidiary entities.
- Investment Strategy Responsibilities:
- Reviews and negotiates agreements with vendors, consultants, services providers and investment entities.
- Drafts, reviews and negotiates non-disclosure agreements.
- Assists in KYC and AML compliance requirements by completing forms and providing the required documentation and information.
- Drafts, negotiates and reviews investment deal-related documents and agreements, and collaborates with outside counsel regarding the same.
- Conducts due diligence on prospective borrowers on an as-needed basis.
- Operations/Non-Legal/Supervisory Responsibilities:
- Manages and mentors one direct report, including but not limited to the following activities: makes recommendations for hiring, termination, promotions and transfers, assessing and completing performance appraisals, coaching, responsibility allocations and task completion, problem identification and resolution and other day-to-day people management and leadership responsibilities.
- Assists the COO with operations-related tasks such as risk management coverage, reviewing and drafting certain ratings agency-related documents, and coordinating charitable contribution matching requests.
- Supports the Regulatory Compliance team and/or other departments on an as needed basis.
- Willingly takes on additional responsibilities as requested in order to accomplish department and Company objectives.

Skills and Abilities:
- Knowledge and experience in interpreting contracting-related legal terms.
- Strong written and verbal communication skills, including verbal and non-verbal negotiation skills.
- Strong organizational skills and attention to detail.
- Strong decision making skills.
- Ability to conduct legal and non-legal research and subsequently analyze and summarize findings in a manner that is concise and clear to business partners from various departments.
- Ability to multi-task and meet time-sensitive deadlines without sacrificing work product.
- Intermediate working knowledge of Microsoft Office, including Word, Excel and Power Point.
Training or Work Experience:
- Minimum 5 years of experience in an insurance industry required.
- Minimum 10 years of experience in corporate attorney roles with progressive experience required.
- Understanding and knowledge of index annuity and life insurance products required.
- Minimum 10 years of life and annuity experience preferred.
- Managerial or Supervisory experience preferred.
Education:
- Juris Doctor required.
Working Conditions:
- Occasional travel (5-10% of the time).
