What you will be doing

We are looking for a lawyer with strong commercial contracting skills and the ability to deliver effective and efficient legal services, manage projects, and provide strategic counseling to join the high-performing, collaborative, and growing legal team.

In this role, the Senior Counsel will provide general legal counsel to AmerisourceBergen's Strategic Global Sourcing business team and will focus on negotiating purchase agreements for pharmaceuticals.

The ideal candidate is a skilled lawyer who understands the legal issues and can balance legal advice with pragmatic and strategic business-minded considerations. While strong legal skills are essential, the ideal candidate is expected to provide advice based on a nuanced understanding of AmerisourceBergen's business, industry, and operations, and to work as a proactive business partner in achieving AmerisourceBergen's business goals and objectives, while protecting AmerisourceBergen's interests by identifying and managing regulatory and other risks. The ideal candidate will also be expected to provide advice in a succinct and straight-forward manner, while working directly with internal leadership, sales, financial, and operations personnel.

The position is "office-flex", meaning that it is a hybrid of in-office and remote work capabilities.
  • Drafts, negotiates and reviews commercial contracts, with an emphasis on procurement contracts with animal health and brand and specialty product manufacturers. Reviews other business agreements, as requested, including logistic services agreements, master services agreements, statements of work, data reporting agreements, consulting and vendor agreements and confidentiality agreements to ensure that these contracts accurately express the Company's objectives and minimize legal risk. Works closely with contract managers on all phases of negotiation with product suppliers.
  • Advises the business on regulatory matters, such as United States Food and Drug Administration compliance, Drug Enforcement Agency compliance, anti-trust, Anti-Kickback, price reporting and other healthcare regulatory matters.
  • Drafts and updates agreement templates for the business's Strategic Global Sourcing team.
  • Works closely with key associates of the Corporation and its subsidiaries on matters relating to the legal affairs of the Company.
  • Develops workflow processes to ensure Company is complying with contractual deliverables and obligations.
  • The lawyer in this role should be able to juggle multiple matters and effectively multi-task and prioritize tasks to ensure that work is completed in a timely and efficient matter
  • The Senior Counsel is expected to effectively cope with change and shift gears comfortably
  • The lawyer in this role is expected to seek out and accept developmental opportunities and willingly accept additional responsibility, challenging tasks, and/or projects

What your background should look like

  • Minimum of 3 years of experience as a lawyer combined with expertise in commercial transactions, contract negotiation and drafting, and healthcare regulatory matters
  • Law firm experience and experience in-house is preferred
  • Experience drafting, reviewing, and negotiating data product or SaaS agreements is a plus
  • Law Degree - must be a graduate of an accredited law school and be in good standing with a state bar (preferably Pennsylvania)
  • This role is comparable to an associate or counsel in a law firm and is a lawyer who can do sophisticated work with minimal guidance and oversight from his or her manager in most instances
  • Required to be adept at handling legal projects, matters, and issues and should demonstrate technical legal skills and expertise sufficient to undertake customary and/or recurring projects, matters, and issues with minimal supervision in most instances
  • Relies on extensive experience and judgment to plan and accomplish goals
  • Demonstrates confidence in work product and seeks guidance on specific, sophisticated issues
  • Exceptional drafting skills and the ability to communicate effectively both orally and in writing
  • Ability to provide contract interpretation counsel and business law advice directly to senior business leaders and decision-makers
  • Strong interpersonal skills and the ability to maintain professional and positive demeanor with internal clients, clients of AmerisourceBergen, senior management, and outside counsel in all circumstances
  • Excellent judgment and ability to resolve complex issues effectively, including demonstrating good business judgment by knowing what issues to push, when to seek help internally, and how to manage AmerisourceBergen's internal negotiation and approvals process
  • Strong negotiating skills and the ability to negotiate directly with external parties with little oversight
