We are seeking an attorney with significant law firm and/or in-house experience in corporate financial transactions with a focus on commercial real estate based transactions and other investments, as well as corporate treasury matters.
Full legal services provided to the Investments, Treasury and Corporate Development Division (ITCD) of the Finance Department and parent corporation's portfolio managers and Chief Investment Officer.
Corporate transaction specialist and legal expert in commercial real estate financings and/or other corporate finance related matters. Work assignments frequently consist of complex legal issues and facts, which require considerable legal judgment, experience and independent reasoning.
Experience in negotiating banking and credit agreements, including institutional trust documents, standby letters of credit and on-demand surety bonds to be held as collateral for beneficiary would be desirable.
JOB DESCRIPTION:
Essential Duties & Responsibilities
Performs a combination of duties in accordance with departmental guidelines:
Provides proactive and protective counsel to senior leaders and portfolio managers on matters of legal risk and obligation.
Prepares, negotiates and reviews documents for commercial real estate, insurance collateral and other investment and corporate transactions.
Provides research, legal analysis, counsel and guidance on legal issues on a wide range of investments, including commercial real estate transactions, and treasury matters.
Reviews, negotiates and drafts contracts; reviews, creates and updates templates.
Collaborates with other members of the Legal - Investment & Treasury team and, on occasion, supervises outside counsel on significant corporate finance transactions, including commercial mortgage loan transactions.
Regularly works with affiliated external clients while resolving legal issues.
Provides opinions or prepares position papers on various legal issues and interpretation of contractual provisions relating to various securities and banking-related matters.
Monitors legal and regulatory developments; counsels management and affiliated external clients regarding changes.
May act as subject matter expert and supervise outside counsel in securities, banking, bankruptcy or foreclosure litigation.
May train internal and external staff on appropriate procedures.
May perform additional duties as assigned.

Skills, Knowledge & Abilities
1. Strong interpersonal skills with ability to collaborate effectively with other team members and internal clients while also being able to take the lead on transactions and projects.
2. Strong knowledge of the principles, practices and procedures of legal risk and management within an insurance organization or other regulated industry, which may include investment advisory services.
3. Excellent verbal and written communication, and presentation skills.
4. Strong negotiation, consultative and facilitation skills with the ability to interact effectively with all internal and external business partners.
5. Ability to exercise independent judgment and to work with and maintain confidential and sensitive information.
6. Excellent analytical and problem solving skills, and the ability to manage ambiguous situations and issues.
7. Proven ability to take a proactive long-term view of business goals and objectives to achieve strategic business results.
8. Knowledge of Microsoft Office Suite, including Excel, and Microsoft Teams and other business-related software.
Education & Experience
1. Bachelor's degree and JD (from an accredited law school), and admission to the bar of at least one state.
2. Four to ten years of law firm and/or in-house legal experience with a proven track record of results.
3. Appropriate writing sample and/or test required.
