As part of the Legal department, the Senior Director of Customer Contracts will support the Legal Team by serving as the first line of review and negotiation for complex customer contracts and RFPs. The Senior Director of Contracts will develop a deep knowledge and understanding of the risk tolerance of the company, the contractual issues that arise and how to handle depending on the product, and work independently to manage incoming and ongoing contract requests with an eye toward efficiency and risk management.
Responsibilities of the Director of Contracts:
Primary responsibilities include the drafting and negotiating of customer contracts, including licensing agreements, professional services agreements, RFPs, data protection agreements, and amendments balancing protecting the company with the customer’s needs. The Senior Director of Contracts will routinely exercise discretion and independent judgment. Specifically they will be responsible for:

Reviewing, negotiating and drafting customer contracts, DPAs, and legal terms in RFPs to ensure compliance with company policies, legal requirements, and risk mitigation strategies.

Advise Sales Leadership of legal rights and obligations and provide clarification of legal terms and conditions.

Collaborating with stakeholders in Sales, Operations, Finance, Product, Information Security, and other departments to review and get approval for nonstandard and business specific contract terms. Collaborate with Sales, Finance, and Operations to ensure consistency in business practices.

Coordinating attorney review for non-standard or high risk contract provisions.

Reviewing RFPs offering appropriate clarifications or alternatives to contract terms and conditions.

Developing and maintaining the legal team customer contracts playbook and data protection agreement playbook.

Support development and maintenance of state-based approaches for data protection agreements.

Develop and implement efficient and scalable operations for the contracts team.

Serve as an escalation point for Contracts Manager(s).
BASIC QUALIFICATIONS
-
BA/BS degree or equivalent experience
-
15+ years contract management and negotiation
-
Proven ability to manage and develop contracts professionals
-
Experience working cross-functionally with the legal, sales, operations, product and technology teams
-
Ability to produce error-free work product with efficiency and attention to deadlines
-
Understanding of contract principles, including the development, negotiation, and execution of contracts
-
Demonstrated negotiation skills
-
Proven successful track record in supporting sales team and closing deals
-
Familiarity with legal concepts such as Intellectual Property, Limitations of Liability, Indemnification, Warranties, and global data privacy and data security compliance requirements.

Ability to respond to legal and contract l support requests, leveraging resources from across the company.
PREFERRED QUALIFICATIONS:

K-12 educational contracts experience

Proactive and advanced analytical, customer service, and problem-solving skills

Ability to interact professionally with internal and external stakeholders through various modes of communication

Ability to be proactive, prioritize and work under tight deadlines in a service oriented and sales driven environment.

Ability to quickly develop an understanding of Amplify’s solutions and use in the context of negotiations
-
Manage and support Contracts Manager(s), including providing guidance, training, onboarding and consistent coaching.

Performing all other duties as assigned.
What we offer:
Salary is only one component of the Amplify Total Rewards package, which includes a 401(k) plan, competitive health insurance and mental health options, basic life insurance, paid time off, parental leave, and access to best-in-class development programs. The gross annualized salary range for this role is $145,000 - $165,000. This role is eligible to receive an annual discretionary bonus that rewards individual and company performance.
