Senior Legal Counsel

What you will do at Mirakl:

You will have the supervision of an intermediate Legal Counsel and will be reporting directly into the Head of Legal based in Paris. You will be responsible for supporting the AMER, LATAM, and Australian Sales & Customer Success teams, and will be in charge of specific legal matters within the US. You will also be in charge of the legal support of Alliances teams globally.

In particular, the Senior Legal Counsel will support the AMER region by:

• Drafting, reviewing, and negotiating a wide variety of commercial agreements to meet business and legal requirements including but not limited to:
  • SaaS agreements, group purchasing agreements, business associate agreements, distribution, confidentiality agreements, and requests for proposals (RFPs)
• Negotiating with key customers, partners, suppliers, and resellers
• Assisting in the management of contract documentation flow, approvals, reporting, and archiving consistent with internal processes and legal guidelines
• Collaborating with Sales, Finance, and other departments such as Marketing and HR to support Mirakl US operations
• Actively counseling the Senior Sales and Field Finance staff members on commercial law, regulations, fraud & abuse, privacy (including data privacy), and other related topics
• Developing creative and compliant solutions to resolve complicated business challenges and customer disputes
• Answering other punctual requests (related in particular to our Boston office) and supporting our US Marketing team (US summit, commercial agreements with providers)
• Assuring general legal watch in the US

What Mirakl is looking for in a candidate:

• Juris Doctor and/or Master's degree in Contract Law
• Extensive experience in the IT transactional field with large, enterprise-level customers is key
• Previous experience as in-house legal counsel (8-10 years)
• Previous experience in the software-as-a-service (SaaS) industry required
• Pragmatic ability to be a trusted Business Partner
• Experience in Indirect Sales / Partner programs is must
• Resourceful; thrives in a fast-paced and metrics-driven environment
• Ability to influence stakeholders
• Fluency in French a plus, but not required
