Job Description :

Role Summary:

As a Senior Legal Counsel, your role is primarily tasked with delivering comprehensive legal policy advice, guidance, and support across a diverse array of matters pertinent to Cogeco’s business operations. You will collaborate closely with a team of leaders to facilitate business outcomes, contributing to an organizational structure designed to embrace the principles of agility.

MAIN RESPONSIBILITIES

● Manage the company's contractual affairs and determine, in conjunction with the departments concerned, the appropriate control and compliance mechanisms.

● Negotiate, draft and review contracts of various kinds relating to intellectual property, information technology, procurement, real estate, commercial law, etc.; prepare and update model contracts.

● Develop guidelines applicable to contracts signed by Cogeco and its subsidiaries, particularly with regard to indemnification clauses, intellectual property, representations and warranties, letters of credit, exclusivity clauses, etc.

● Provide contractual guidelines to the General Counsel of Cogeco Data Services (CDS) to ensure compliance of CDS contracts with applicable Cogeco policies. Provide recommendations as required, after consultation with other members of Cogeco management, on contractual matters referred to him by the General Counsel of CDS in accordance with established guidelines.

● Monitors broadcasting regulatory developments and ensures that the Company and its subsidiaries comply with their regulatory obligations, advises them in this regard, and makes documentary filings before the relevant authorities, when required.

● Actively participates in major acquisition transactions, including due diligence, negotiation and preparation of relevant documentation, and executes mandates in connection with the closing of these transactions and the integration of these companies into Cogeco's operations.

● Implement various files and special projects required by legislative changes (e.g. consumer protection) and oversee the required interactions with the various departments concerned.

● Represent Cogeco before various regulatory or administrative instances and industry committees.

● Provide legal support and guidance to operations in all areas of the company's business.

● In support of Cogeco's ultimate goal of providing best in class service to current and potential customers, the incumbent must actively listen to and respond to the needs of external and internal customers, contributing diligently and professionally to the resolution of any issues or concerns, ensuring that the solution meets the customer's needs.

REQUIREMENTS

ACADEMIC TRAINING

● Bachelor's degree in law

● Member of the Bar 

WORK EXPERIENCE

● A minimum of 10 years' experience, preferably in a public company context

● Experience in corporate, commercial, securities and intellectual property law

● Regulatory knowledge in broadcasting law (CRTC) is an asset.

SPECIFIC SKILLS

● Deep analytical skills and interpersonal judgment, along with influencing abilities, result-centered, client/partner oriented

● Ability to issue clear recommendations related to the organization’s strategy and objectives

● Strong decision-making, dispute resolution, ethical judgement, and complex problem-solving skills
