As a member of Northern Trust's Legal Department, this attorney will be responsible for providing high quality legal advice and counsel to our rapidly growing Capital Markets business in a manner consistent with our enduring principles of service, expertise and integrity. This attorney will have primary responsibility for the day-to-day legal support provided to Northern Trust's Foreign Exchange, Treasury, Credit and Swap Dealer Compliance teams.
Major Duties• Draft and negotiate ISDA master agreements (including schedules and credit support annexes and related agreements) for foreign exchange, interest rate swaps and other derivatives transactions and products• Advise internal stakeholders on applicable regulations impacting the business, including CFTC Swap Dealer regulations and the Commodity Exchange Act• Provide legal support to internal teams implementing initial margin and IBOR replacement and leading the related documentation efforts• Manage, conduct, review and advise on collateral enforceability and netting analyses, including obtaining, reviewing and analyzing netting and collateral enforceability legal opinions • Support document management and digitalization program, including managing regular updates to standard forms and templates • Instruct, liaise with and manage external counsel in a variety of jurisdictions
Participate in various industry organizations and working groups including ISDA and SIFMA

• Minimum 6 years' experience at a nationally recognized law firm and advising clients in the financial services industry and/or similar in-house counsel experience• JD from an accredited law school and admitted to practice or willing to secure bar admission in Illinois
Knowledge/Skills• Experience drafting and negotiating complex master netting agreements such as ISDA master agreements (including schedules and credit support annexes), account control agreements, master confirmation agreements, compliance agreements, master repurchase agreements and related documentation • Familiarity with bespoke and industry legal opinion review and interpretation, including use of available tools such as NetAnalytics, SLAnalytics, or CSAnalytics• Experience directly and independently managing significant matters or projects• Knowledge of and familiarity with applicable banking, corporate, and securities laws and regulations, including one or more of the US Bank Holding Company Act, Dodd Frank Act (Title VII and/or the Volcker Rule), Basel III Capital Rules and ERISA• Excellent organizational, interpersonal and communication skills with the ability to collaborate across inter-disciplinary teams to meet client needs• Exceptional writing and research skills, reflecting self-motivation, attention to detail and effective issue spotting
