The role
This role is a 6 month FTC with specialist commercial contracts experience working within a regulated financial services organisation. The role is within the Group legal team to provide advice, drafting and negotiating a variety of third party supplier contracts and support legal risk management across the Titan Group. Reporting into the Group General Counsel, leading on all commercial contract matters and associated legal and regulatory issues.
Job responsibilities
- Commercial contracts role carrying out a variety of legal work and delivering tailored legal advice to across the (a) Advice; (b) Asset Management and (c) Technology trading, settlement and custody businesses and central functions such as HR, Marketing, Operations, Finance, Compliance and IT.
- Assist in reviewing, drafting, negotiating and structuring of a broad range of commercial contacts, including material and non-material outsourcing services agreements, goods and service, IT services agreements such as cloud, SaaS arrangements and Intragroup Agreements.
- Working with the businesses and central functions at various stages of the contracting process including supporting the pre-contracting processes in line with best practices; advising on legal issues contractual interpretation in line contracts, assisting with contract renewals, termination and exit; and preparing contract summaries and risk reports or other stakeholder briefing documents.
- Excellent stakeholder management skills and the ability to explain complex legal concepts in jargon free language.
- Offer legal advice on a wide range of strategic, business, legal risk management and regulatory issues and advise on all contentious and litigious matters involving third party supplier arrangements.
- Identify areas of legal risk and develop strategies to mitigate these.
- Contribute to the development of the legal approach in relation to risk management for commercial contracts as required.
- Monitor regulatory developments impacting third party supplier arrangements, assisting with interpretation, advising management and staff of such developments and supporting the delivery of any resulting change (including any documentation and operational change)
- Overseeing / monitoring more junior members of the team (where appropriate) and willingness to take on line management.
- Manage, draft, update and contribute to contract precedent templates and associated guidance material.
- Effectively manage and work with external legal counsel on commercial contracts and associated legal issues. Liaise and support the management of external legal counsel in line with targets and budgetary requirements.
- To carry out any other duties as may reasonably be required

Education and requirements
- Legal qualification: 8 + yrs PQE with commercial contracts experience working within a regulated financial services organisation
- In house experience is desirable but not compulsory.
- A well rounded, broadly based and highly regarded commercial contracts specialist with first rate academic credentials, demonstrable intellectual abilities and an excellent career track record to date
- An in-depth understanding of the financial services industry and demonstrable wide-ranging commercial experience
- A business oriented lawyer with the breadth of experience to cover a broad range of legal and commercial issues across the entire Group and individual business areas.
- Ability to think strategically and creatively see legal issues in their wider context and advise accordingly
- Excellent interpersonal and communication skills, strong organisational skills and judgement, excellent analysis, drafting and negotiation skills
- Self-motivated to drive delivery against objectives and an ability to work autonomously and manage own caseload effectively.
- Willingness to learn and to build a good working relationship with internal stakeholders, identifying areas of improvement of contractual documents, policies and standards.
- Experienced within a regulated environment and working with Compliance colleagues on a wide range of issues
- Accustomed to operating in a high paced environment and with a successful track record of aligning legal priorities and business goals.
- An ability to provide incisive and proactive advice and sound commercial legal judgement.
