Description: The Senior Managing Counsel reports to theTarrant County Hospital District Deputy General Counsel and has responsibilityfor providing legal advice on a wide variety of matters related to the legaloperations of the Hospital District. Key responsibilities include, withoutlimitation, serving as the senior in-house operations attorney and regulatoryexpert in a highly-regarded and visible role while managing staff, providinglegal advice to operations, and supporting the Office of the Chief LegalCounsel. The position will also serve as a business and processcompliance leader for the contracting management functions. The principalresponsibility of this role is for the overall management of contracting andpurchasing procedures in accordance with applicable law, regulations, and JPSpolicies. This position is responsiblefor ensuring adherence to relevant policies with an emphasis on enhancing andimproving overall procurement processes, documenting and increasing diversityparticipation and spend in vendor contracting to align with organizationalgoals, improving the efficiency of the competitive bidding, contracting, and approvalprocesses, and improving the quality of contracts developed and/or negotiatedunder the applicable procurement requirements and JPS policies.
Duties and Essential Job Functions:
- Responsible for governance of contracting and competitive bidding functions including oversight, staffing, policy development, training, and deployment of automated systems.
- Directs and develops departmental policies and procedures that govern the contracts management team and provides guidance on contract terms and the assessment of contract proposals.
- Provides recommendations and guidance for public contracting and procurement activities, including all aspects of the process from bid document preparation to contract negotiation and execution.
- Provides strategic guidance for the contracting process, working closely with procurement, diversity, clinical, legal, and operational business personnel to assist with the development and implementation of contracting/ procurement best practices.
- Negotiates and documents a wide variety of contracts, change orders, and other agreements and arrangements pertaining to hospital and health system operations to obtain favorable business terms for the organization.
- Provides guidance in the request for proposal and vendor selection process, with particular attention to organizational goals around diversity, equity, and inclusion in the selection process and with diversity spending. Ascertains and proposes alternative methods to meet needs and objectives.
- Communicates effectively with colleagues at all levels to develop an understanding of each division's role in the District's operations, needs, and objectives.
- Educates team members in the public contracting and procurement processes.
- Collaborates with various departments to assist with adherence to budgetary and other internal requirements.
- Responsible for ensuring that contracts are routed appropriately to receive the necessary approvals prior to execution.
- Maintains knowledge of applicable rules, regulations, policies, and guidelines that impact the public contracting and procurement processes and supply chain division.
- Supervises staff to include understanding, implementing, and complying with personnel policies and making recommendations, as appropriate, for disciplining, coaching, and counseling; performs ongoing and annual performance evaluations.
- Develops and maintains a comprehensive document management system that utilizes the electronic lifecycle document management system as well as a legal matters management system.
- Provides oversight for the contracts, document, and project management systems; monitoring, analyzing and reporting of pertinent information.
- Documents and reports all identified process improvements and cost savings related to contracts.
- Evaluates contract compliance and advises on contractual rights and obligations.
- Conducts research and provides benchmarks to identify contracting opportunities for expense reduction in support of the Value Analysis Teams.
- Prepares Contracts Management department operating budgets on an annual basis and monitors areas of responsibility for compliance.
- Participates in leadership development activities; implementing strategies and processes to improve employee morale and performance.
- Acts as a liaison between outside entities and JPS, the District Attorney, and the Legal Service Department.
- Performs other related job duties as assigned.
Qualifications:
Required Education and Experience
- Juris Doctorate (JD) from an American Bar Association accredited law school
- Minimum 15 years of transactional and/or healthcare Law experience, preferably in a hospital/health system setting.
- In-depth knowledge of all major laws and regulations governing the day-to-day operations of a large healthcare system which includes an employed physician group and a supporting foundation.
- Strong initiative, as well as management,team-work, delegation, and problem-solving abilities
Required Licensure/Certification/Specialized Training
- Current Texas Bar License or the ability o become licensed in Texas within one (1) year
Preferred Education and Experience
- Previous experience as an in-house operations counsel in a complex healthcare environment
- Lead and/or supporting counsel on multiple inquiries and/or investigations by regulatory bodies
