HOW YOU WILL SOAR:
As a member of the in-house Legal team at Millennium Trust Company, a fast growing, innovative, and leading provider of retirement, financial and consumer-directed services, the Senior Counsel will provide commercial and transactional legal support to the Company's various business teams. The responsibilities of the position include but are not limited to: providing legal support for M&A transactions, including conducting due diligence and drafting and negotiating transaction documents; drafting and negotiating vendor and commercial contracts; drafting and negotiating significant client contracts; ensuring compliance with entity management/corporate governance and state third party administrator licensure requirements; support for new product development and enterprise-wide strategic initiatives; identifying new and proposed legislation and regulatory actions that may impact the Company; and assisting with risk management, compliance, audits, and vendor management. The ideal incumbent will provide legal advice in a wide variety of specialized areas of law, including but not limited to: M&A, commercial/technology transactions, ERISA, IRS regulations, including prohibited.
  • Execute on creative legal solutions for new, complex, and innovative financial services, retirement and consumer directed benefits products and strategic initiatives
  • Negotiate, conduct due diligence, and execute on significant commercial transactions, including M&A, vendor arrangements and significant client contracts
  • Ensure ongoing compliance with regulatory requirements related to entity management/corporate governance and state third party administrator licenses
  • Proactively identify firm-wide risk, and identify applicable federal, state and foreign laws, rules and regulations affecting the Company's lines of business
  • Identify new federal and state laws and regulations for applicability, risk, and impact to the business
  • Provide support and assistance to General Counsel, Deputy General Counsel, Associate General Counsel in a variety of matters, as directed
  • Work effectively with internal staff at all levels, as well as external organizations in fast-paced drafting, reviewing, negotiating, and administration of complex business transactions
  • Communicate proactively with clients, attorneys, and organizations to resolve discrepancies and disagreements
  • Other duties as assigned

IF YOU HAVE SOME OR ALL OF THE FOLLOWING, APPLY:
  • Bachelor's Degree, Juris Doctorate Degree
  • 5-7 years of applicable experience
  • Significant M&A, corporate and/or transactional law experience
  • Working knowledge of the financial services, retirement and/or consumer directed benefits industries and applicable regulatory regimes
  • Experience with some of the following preferred: HSAs, consumer directed benefit products, automatic rollovers, custodial services, IRAs, or alternative investments
  • Excellent communication and presentation skills
  • Ability to work collaboratively and effectively at all levels of the organization
  • Strong time and case management skills; ability to shift quickly between substantive areas of law and the requirements of the different lines of business in a fast-paced environment
