Sr. M&A and Transactions Accountant

ACCOUNTABILITY STATEMENT

The Sr. M&A and Transactions Accountant supports the accounting function for mergers and acquisitions, as well as regulatory and financial reporting, of the organization by using knowledge and understanding of generally accepted accounting principles (GAAP) and disclosure requirements, as well as analytical, technical, organizational, and communication skills. This individual works primarily with the VP Accounting Policy & Transaction Advisory, the AVP Financial Reporting, and the VP Controller, but also interacts regularly with other accounting personnel and with members of Finance, Corporate Development, Lending, and other departments as needed, as well as internal and external auditors and federal and state regulators.

ESSENTIAL JOB FUNCTIONS

  • Primary resource for all aspects of mergers and acquisitions pre-due diligence, due diligence, planning and execution, including preparing analyses and closing entries for legal day one purchase accounting for mergers and acquisitions for the organization.
  • Responsible for recording, monitoring, and reporting financial activities associated with the organization's mergers and acquisitions, loan sales and participations, mortgage servicing rights, non-standard investments, and other complex transactions. Works with the Finance teams to ensure that the purchase accounting, including loan marks accretion/amortization, fair value adjustment accretion/amortization, charge-offs and recoveries, allowance for loan and lease losses, and other ongoing purchase accounting adjustments are recorded and reported in an accurate, complete and timely manner.
  • Responsible for all accounting aspects of purchased loans, including purchased impaired loans, and maintaining all manual accounting processes required for accurate reporting of the acquired loan portfolios.
  • Responsible for research and analysis of financial trends, cost variances and operational processes as it relates to mergers and acquisitions and other complex transactions; prepares reports to support recommendations to senior management for accounting implications and/or issues with mergers and acquisitions and other complex transactions. Assists with the maintenance of the organization's general ledger as it pertains to these transactions.
  • Serves an integral role in the organization's monthly closing process related to ongoing purchase accounting for mergers and acquisitions, loan sales and mortgage servicing rights, loan participations, equity and non-standard investments, and other complex transactions by executing period-end transactions and analyses. Identifies opportunities for process improvements to optimize the financial closing process. Assist in streamlining workflows by identifying information systems improvements as well as creating efficiencies with manual processes.
  • Prepares the monthly analyses and supporting schedules related to mergers and acquisitions, loan sales and mortgage servicing rights, loan participations, non-standard investments, and other complex accounting for the organization. Ensures internal reports are saved and distributed in an accurate, complete and timely manner.
  • Assists with any other ad-hoc transactions requiring complex accounting review and execution, including, but not limited to, non-standard investments, CUSO transactions, loan sales and participations, and mortgage servicing rights.
  • Assists with compilation and validation of financial statements and NCUA 5300 (Call Report) as it pertains to mergers and acquisitions, loan sales and mortgage servicing rights, loan participations, non-standard investments, and other complex transactions.
  • Responsible for preparing and maintaining mergers and acquisitions and other complex accounting desk procedures and updating company policies and procedures, when applicable. Responsible for ensuring compliance with internal policies and procedures related to purchase accounting and other ad-hoc transactions.
  • Keeps abreast of core processing system enhancements as they relate to the recordkeeping and reporting of financial transactions.
  • Ensures compliance with financial reporting rules and regulations promulgated by the National Credit Union Administration, the organization's federal and state regulators and other rule-making and regulatory bodies that may impact on the mergers and acquisitions accounting function, ensuring the credit union's financial integrity, scoring, and examination findings are minimized with our primary and secondary regulators.
  • With respect to mergers and acquisitions and other ad-hoc complex accounting, ensures that the organization adheres to applicable GAAP as promulgated in the statements issued by the Financial Accounting Standards Board and in other authoritative accounting literature. Ensuring the tax, financial reportings, and economic results of these transactions are in line with IRS requirements and GAAP to ensure the credit union does not experience fines, penalties, economic loss, or external audit findings.

JOB KNOWLEDGE, SKILLS & ABILITIES

  • Minimum of five years of related experience with financial services industry experience preferred; experience with purchase accounting, purchased loans accounting and financial analysis preferred.
  • Well-rounded strong performer who supports the organization's mergers and acquisitions accounting processes.
  • Solid technical skills for accounting, reporting, and analysis with a solid understanding of generally accepted accounting principles (GAAP).
  • Ability to produce work of high quality and accuracy under tight deadlines; organized self-starter with advanced problem-solving skills.
  • Ability to prioritize workload and to perform in a fast-paced corporate environment; high concentration level with ability to perform complex tasks timely and efficiently.
  • Ability to perform effectively in a team environment and communicate effectively across multiple functional areas and senior management.
  • Excellent planning, analytical, interpersonal and written and verbal communication skills; excellent research and computation skills with strong attention to detail.
  • Organized and thorough with desire for continuous improvement; possesses the experience and judgment to plan and accomplish various complex goals and objectives.

EDUCATION

Bachelor's degree in Accounting or Finance with proven academic excellence is required with a minimum of five years of related work experience; CPA preferred.

Must be skilled in the use of various software applications to collect data and prepare financial information; must possess intermediate knowledge and familiarity with applications such as Microsoft Excel, Word, PowerPoint and general ledger experience.
