JOB DESCRIPTION:
CNA is currently recruiting for a Senior Vice President, Head of Legal for Investments & Treasury, in the Law Department. This position will lead a team of attorneys who are responsible for providing legal, transactional and regulatory advice and counsel to CNA's Investments, Treasury and Corporate Development Division of the Finance Department and its parent corporation's Chief Investment Officer and portfolio managers, as well as advising the company on investment-related regulatory matters. This leadership role is responsible for the overall strategic direction and general management of legal advice and counsel to assigned business lines or corporate functions, in accordance with the company's strategic plans.
The Investments & Treasury Legal Support Legal team is responsible for a wide variety of legal functions, including:
- Strategic and tactical legal counseling to CNA's Investments, Treasury and Corporate Development Division of the Finance Department and its parent corporation's Chief Investment Officer and portfolio managers.
- Drafting and negotiation of a wide variety of agreements of CNA's invested asset classes - principally, commercial real estate, private equity limited partnerships, asset-backed securities, bank credit facilities, privately placed notes, investment advisory agreements (e.g., commercial mortgage loan documents, private equity side letters, investment advisory contracts, etc.).
- Drafting and negotiation of bank operating, credit, trust and other banking agreements.
- Legal advice and counsel for CNA's public debt issuances and bank credit facilities.
- Investment and banking related insurance compliance.
- Regulatory advocacy on proposed insurance statutes, regulations and accounting policies and procedures related to investments.
- Subject matter expertise on investment-related litigation.
The ideal candidate will have extensive knowledge of various investment asset classes and experience operating in a regulated industry, as well as in several diverse disciplines of securities law, bankruptcy law, investment related ERISA law, federal and state banking law and accounting controls. Advanced communication skills and ability to establish oneself as a trusted advisor to senior leaders and executives and parent corporation senior leaders and executives are key to the success of this role. Individual must be capable of building consensus and influencing internal and external relationships in a matrixed environment. Must have superior leadership skills and demonstrated ability to drive results by identifying and resolving significant problems within scope of responsibility. Must be able to provide legal advice in a quick-paced environment with changing priorities.
General requirements for the role are a Bachelor's Degree with JD and a license to practice law in at least one jurisdiction preferred, or equivalent. Candidates should also have a minimum of 15 years of related legal work experience, with 10 years management experience.
Job Summary
Senior officer position responsible for overall strategic direction and general management of legal advice and counsel to assigned business lines or corporate functions in accordance with the company's strategic plans. Plays a significant role in corporate strategy/policy formulation and execution related to investments and banking legal matters.
Essential Duties & Responsibilities
Performs a combination of duties in accordance with departmental guidelines:
Partners with senior management to develop strategic and operational plans that have a significant impact on the short-term and long-term success of legal support for CNA's $50 billion in invested assets and public debt offerings. Determines strategy and provides legal support in area of expertise to assist portfolio managers in business decisions. Responds to inquiries regarding business practices and evaluates possible resulting legal implications related to area of expertise. Leads directs and has full management accountability for staff in area of responsibility with an emphasis on diversity, talent management and succession planning in accordance with corporate strategic directions.
May perform additional duties as assigned.

Skills Knowledge & Abilities
Extensive legal knowledge in several diverse disciplines of investments, banking, investment and banking related insurance compliance, investment-related litigation, investment-related regulatory advocacy matters and public and private debt issuances and credit facilities. Advanced communication skills which are critical to building consensus across area of influence (external and/or internal relationships) team and/or matrix environment. Superior leadership and management skills demonstrating integrity and professionalism. Ability to drive results by identifying and resolving significant problems within scope of responsibility. Good business understanding of various invested asset classes and banking and other credit related products. Knowledge of Microsoft Office Suite and other business-related software.
Education & Experience
Bachelor's degree with JD and a license to practice law in at least one jurisdiction preferred or equivalent. Typically a minimum of 15 years of related legal work experience with 10 years management experience.
