Role Description
The Dropbox Tax team has an exciting opportunity for a Legal Entity Tax Governance Lead. This role will partner and collaborate seamlessly with members of the Tax, Finance, Legal and business teams to help drive and support our commercial strategy, tax, legal and finance initiatives for for Dropbox.
In this role, you’ll bring enthusiasm for all things governance related and thrive teaming with other smart Tax folks to drive and deliver Dropbox projects and initiatives.  You’ll be ready to roll up your sleeves to design and implement tax and legal entity governance processes, policies, best practices, and frameworks to help scale a growing team and function. You are a self-starter who follows through, gets stuff done, and has a passion for problem solving, and process improvement.
Responsibilities
This exciting role has overall accountability for managing E2E foreign legal entity corporate governance including ownership of tax and legal processes, establishing project / process steps, drafting, or overseeing drafting of documentation, researching, and ensuring compliance with local country requirements, coordinating execution, maintaining documentation and records. Core responsibilities include:
  • Legal entity formation – Owner of tax and legal steps required to establish new legal entity including working with external counsel and across internal finance and legal teams to identify implementation plan and subsequent project management of cross-functional finance, legal, HR teams to facilitate E2E delivery of new legal entity
  • Legal entity dissolution – Lead / owner of tax and legal steps required to wind down / dissolve legal entity
  • New jurisdiction research - Monitor global headcount changes / business expansion and evaluate if new tax or legal requirements are required to operating in the jurisdiction, such as business registration
  • Manage profile of registered offices with Spaces / Regus, including on-line profile, point of contact, etc.
  • Manage Board Meetings / annual shareholder resolutions, including:
    • Quarterly meetings – gathering information from presenters, orchestrating meetings, minutes, documentation, resolutions, maintaining documentation, records, etc.
    • Annual local country legal entity requirements, such as the approval of statutory of financial statements
    • On-boarding / training of Board members re requirements / cadence
  • Board Director changes - appointments and resignation, including coordination of communications with impacted internal teams (payroll, benefits, HR, accounting, etc.)
  • Manages delegation of authority for in country representatives
  • Makes ad hoc updates to legal entity records including change in ownership, registered address, notification to tax authorities and other third parties as required, etc.
  • Conducts new jurisdiction research - Monitoring global headcount / business expansion and evaluating if new tax or legal requirements are required to operating in the jurisdiction, such as business registration
  • Manages profile of registered offices with Spaces / Regus, including on-line profile, point of contact, etc.
  • Additional responsibilities include:
    • Tax project management – drive E2E project steps and cross-functional collaboration / delivery in support of tax projects and initiatives such as M&A tax / legal entity integration steps, tax controversy audit project management and key tax department projects / initiatives
    • Establishing tax governance best practices and processes to maintain / organize document repository to support tax audits and inquiries.
Requirements
  • 7+ years of in-house experience leading legal entity corporate / tax governance and/or M&A tax integration at a large multinational technology company with progressively increasing responsibilities and accountability
  • Proven experience achieving results planning and executing complex projects requiring coordination of work in cross-functional environments, cultures, and time-zones
  • Exceptional project management skills including processes, reporting, and developing project management templates and tools
  • Creative problem-solving skills – enjoys and excels at independently researching legal and tax requirements and formulating project plans, steps and processes
  • Thrives working both independently and, in a virtual team-oriented, collaborative environment
  • Excellent communication and interpersonal skills, and the ability to influence, build trust and collaborate transparently 
  • Desire to continuously evaluate opportunities to develop and up-level process, policies, tools and templates, developing best in class scalable approach to delivering work in operationally efficient ways
  • BA in Economics, Finance, Accounting, Business, or equivalent
  • Advanced degree (MBA, JD, MST, Ph.D.), paralegal certification and/or project management accreditation preferred

Through our assessment process, we will identify your level that ties to compensation based on your experience and technical expertise along with the scope of the role. 

For candidates hired in the following locations: Austin (TX) metro, Chicago metro, Colorado, Massachusetts, Maryland, Oregon, Washington D.C. metro, California (outside SF metro), the expected salary/On-Target Earnings (OTE) range for the role is currently $107,400 - $126,400 - $145,400 if you are assessed at the IC3 level. If you are instead assessed at the IC4 level, the expected salary/On-Target Earnings (OTE) range for the role is currently $132,200 - $155,500 - $178,800. 

For candidates hired in the following locations: Arizona, Florida, Georgia, Illinois (outside Chicago Metro), North Carolina, Tennessee, Texas (outside Austin Metro), Virginia (outside D.C. Metro), the expected salary/On-Target Earnings (OTE) range for the role is currently $95,500 - $112,300 - $129,100 if you are assessed at the IC3 level. If you are instead assessed at the IC4 level, the expected salary/On-Target Earnings (OTE) range for the role is currently $117,500 - $138,200 - $158,900. 

Range(s) is subject to change. Dropbox takes a number of factors into account when determining individual starting pay, including job and level they are hired into, location/metropolitan area, skillset, and peer compensation. Dropbox uses the zip code of an employee’s remote work location to determine which metropolitan pay range we use. 

Salary/OTE is just one component of Dropbox’s total rewards package. All regular employees are also eligible for the corporate bonus program or a sales incentive (target included in OTE) as well as stock in the form of Restricted Stock Units (RSUs).
