What we are looking for

HopSkipDrive seeks a contract specialist professional to join our Legal/Government Affairs team with experience reviewing third-party sales agreements, vendor agreements, and RFPs and redline them appropriately. Additionally, we are looking for someone who can review redlines to our contract templates submitted by the opposing party and make appropriate recommendations to HopSkipDrive's Corporate Counsel and Director of Legal Affairs and Data Security. Candidates should be familiar with and able to identify risks and issues associated with contracting principles such as limitations of liability, indemnities, insurance requirements and liquidated damages.

Responsibilities Of The Role 

  • Serve as the initial point of contact for consideration of standard and non-standard contracts, with special emphasis on SaaS, licensing, vendor, non-disclosure, consulting, and sales agreements, including significant contracts with governmental entities.
  • Liaison with legal, finance and other teams within the HopSkipDrive organization to flag internal and external changes to standard terms and conditions. 
  • Manage workload independently with minimal guidance and in accordance with expected SOPs, sometimes in a dynamic environment of high volume and urgency.
  • Leverage professional and personal experiences to identify solutions to address concerns while aligning to HopSkipDrive’s objectives.
  • Identify and assist in the implementation/communication of contracting improvements, as appropriate, and often with collaboration from other departments and stakeholders.
  • Ensure executed contracts, drafts, supporting documentation, correspondence and approvals are saved to the company’s contract management system - Ironclad.
  • Assist with the initial review of RFPs to ensure submissions align with HopSkipDrive’s standard operating procedures across multiple departments and elevate issues as necessary.

This is a temporary position for approximately 2 months,  up to 20 hours per week.

** This role will be fully remote from a state where we do business  AZ, CA, CO, DC, FL, IL, KS, MD, WI, NC, NV, NJ, NY, OR, TX, SC, VA, MI, TN, WA** 

Requirements 

In addition to requiring knowledge and familiarity with contracting requirements, this role requires that you synthesize complex issues and explain them succinctly and simply. Working well with others of varied backgrounds and experiences comes easy to you-and you seek to understand their interests and motivations to help build the best mutual outcomes. People think of you as someone who puts others at ease and knows how to create agreement among parties. You also hold your ground on the non-negotiables.

Required Qualifications

  • A minimum of 3+ years of direct contract review work experience.
  • Proven work experience as a contract specialist, paralegal, or similar role.
  • Experience reviewing and editing contracts under the guidance of the legal department, with particular government contracting experience at the state and local level.
  • Experience using a contract management system (i.e., Ironclad) and sales team platform (i.e., Sales Force).
  • Familiarity and proficiency in interpreting insurance policies and determining if the organization’s insurance coverage meets minimum contract requirements.
  • Previous experience managing the vendor procurement process for a high growth, scaling organization, including the representation of historically targeted and oppressed communities in the procurement process.
  • Experience participating in the RFP process during the solicitation, submission, and post-award phases.
