Position Title: Vice President, Legal
Reporting To: Chief Financial Officer
Location: This role is intended to be located in our Chapel Hill, NC office, although other Well hubs will be considered.
Position Summary: The Vice President, Legal will be a key member of Well’s leadership, serving as a trusted partner while guiding corporate strategic and tactical legal initiatives. Senior management will rely on the VP, Legal for high quality, effective advice on company strategies and their implementation, including across functions and in relation to all aspects of our platform. The VP, Legal will manage the legal function as well as obtain and oversee the work of outside counsel. The VP, Legal will also be directly involved in complex business transactions in negotiating critical contracts and ensuring legal and regulatory compliance.
Responsibilities:
- Provide continuing counsel and guidance on legal matters and on legal implications of all matters that impact the business.
- Coordinate and manage the company’s corporate compliance program, assuming ultimate responsibility for ensuring that the company conducts its business in compliance with applicable federal and state healthcare and other laws and regulations. This includes, importantly, oversight of data privacy, HIPAA compliance as Well’s Privacy Officer, and close collaboration with Well’s Security Officer.
- Serve as key leader in the definition and development of corporate policies, procedures and programs; chair the company’s Policies & Procedures Committee.
- Review and execute all contracts and support vendor management.
- Serve as lead lawyer/legal advisor on all major business transactions, including capital raises, acquisitions, divestitures and joint ventures.
- Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.
- Respond to requests for advice on legal and business issues, including contract negotiation, business risk, dispute resolution and other issues across the organization.
- Advise and collaborate with operating teams to ensure compliance with applicable healthcare regulations, including, but not limited to (i) state definitions of clinical practice, (ii) licensing requirements for all licensed providers employed by Well, and (iii) standard of care as legally defined for care coordination and care management.
- Over time, structure and manage the company’s internal legal function and staff.
- Advise on the selection, retention, management and evaluation of all outside counsel.

- Demonstrated collaborative style, with the ability to influence diverse teams and build strong relationships across various internal stakeholders and constituents
Qualifications and Key Requirements:
- J.D. degree
- Admitted to the practice of law in one or more states
- At least 5 years of legal experience, in positions of responsibility, with work on complicated issues and experience advising decision makers in high-stakes matters.
- Experience in the healthcare industry required
