VP 3rd Party Risk Management & Legal Counsel

ACCOUNTABILITY STATEMENT

Reporting to the Deputy General Counsel, the position involves managing the review and negotiation of contracts on behalf of VyStar Credit Union and leading the 3rd Party Risk Management staff in order to meet the regulatory scrutiny requirements imposed on large, complex financial institutions; increasing the organizations' risk awareness and understanding of inherent 3rd Party Risk exposures and effective methods to mitigate those risks to an acceptable residual risk level; defining and implementing 3rd Party Risk Management Program related to the evaluation, selection and implementation of new 3rd Party relationships as well as risk assessment, due diligence and ongoing vendor management and monitoring activities for new and existing 3rd Party relationships; leading Merger & Acquisition due diligence and implementation activities as it relates to 3rd Party relationships and enhance risk-based decision-making processes by providing knowledge expertise and collaborating with business units in acquiring, retaining or terminating 3rd Party relationships in-line with strategic and financial objectives. In addition, a VP who is also an attorney will assist in reviewing, researching, and providing legal advice regarding all laws and regulatory regimes applicable to VyStar Credit Union and its subsidiaries. The position will help manage litigation, financial institution legal processes and disputes, including outside counsel, e-discovery requirements, budget management, and internal client impact.

ESSENTIAL JOB FUNCTIONS
  • Lead and provide direct oversight of the 3rd Party Risk Management Department.
  • Oversee and monitor the effectiveness of the 3rd Party Risk Management Program to ensure VyStar meets the elevated regulatory scrutiny requirements for a highly complex and large financial institution.
  • Lead Merger & Acquisition due diligence and implementation activities as it relates to 3rd Party relationships and provide knowledge expertise and collaborating with business units in acquiring, retaining or terminating 3rd Party relationships in-line with strategic and financial objectives.
  • Work collaboratively with project managers, business owners/executives in supporting and implementing various VyStar annual Business Plan Objectives that involve engaging or expanding upon 3rd Party relationships providing new or enhanced products, services, and/or technologies.
  • Responsible for consolidation and organization of legal opinions, both formal and informal provided by outside and former legal counsel.
  • Maintain understanding of key laws and proposed regulatory changes applicable to credit unions and other VyStar business entities.
  • Participate in periodic reviews and risk assessments of entity compliance with federal, state, and local laws, regulations, and VyStar policies.
  • Research and develop opinions on legal issues, pending legislation, and proposed and/or new regulations upon request.
  • Provide legal opinions and recommendations to Executives and management as requested.
  • Review and advise regarding company contracts, negotiations and new projects as requested.
  • Manage litigation and participate in selection and maintenance of outside counsel relationships.
  • Oversee intellectual property submissions, maintenance, and enforcement.
  • Perform other duties as assigned.

JOB QUALIFICATIONS

Education & Experience
  • Bachelor's Degree in business or a related field is required.
  • A minimum of 8-10 years of experience in a 3rd Party Risk Management leadership role is required, including ability to assist business owners with researching vendors for particular products, systems or services, manage RFI/RFP and due diligence processes, perform risk assessments for new and existing 3rd Party relationships, perform contract negotiations, review/finalize contractual terms and agreements, perform ongoing monitoring and management of a large portfolio of 3rd Party relationships.
  • Juris Doctor Degree from accredited institution preferred with minimum of six years corporate and commercial legal experience, preferably at a major law firm or in-house for a financial institution.
  • Must have a minimum of 5 years of progressive experience leading teams, providing direct oversight and mentoring of assigned staff, which includes selection, training, counseling, evaluations and compensation decisions. Exhibit a true commitment to mentoring and developing others, continually promoting a strong sense of teamwork and ability to inspire a team to achieve high quality and productivity levels.
  • Minimum of six years of corporate and commercial legal experience, preferable at a major law firm or in-house for a financial institution.
  • Knowledge and ability to research and advise upon the statutory, regulatory, and legal requirements applicable to financial institutions and the subsidiaries that comprise the VyStar enterprise.
  • Resume must demonstrate progressive experience leading teams, providing progressive oversight and mentoring of assigned staff, including selection, training, counseling, evaluation, and compensation decisions.

BAR ADMISSIONS
  • Admission to practice in Florida or Georgia preferred. Admission to practice law from state bar association required.
