Zayo is the leading, independent fiber infrastructure provider in the United States. This is largely due to its highly acquisitive history, having executed nearly 50 acquisitions. Inorganic growth is engrained in Zayo’s culture and continues to be an integral part of the growth strategy.
Reporting to the SVP Corporate Strategy & Development, the VP will be expected to manage all phases of the M&A deal lifecycle through execution, including the onboarding of acquired companies into Zayo’s financial planning processes. The VP will also lead and develop the North American Corporate Development team and will maintain both the North American deal funnel and its historical log. The position will have frequent exposure to Zayo’s senior executive team, private equity investors, and various Board of Directors members.
Specific Responsibilities:
Lead due diligence processes for potential acquisitions to (1) assess the current capabilities and trajectory of the potential target, (2) develop the go-forward operating plan under Zayo’s ownership, and (3) the collective future financial implications; managing cross-functional internal teams and external partners including legal advisors, financial advisors, and other consultants
Build and own the financial forecasting models, valuation analyses, and returns on invested capital
Develop and present internal presentation materials for the purposes of soliciting guidance and decisions, from the investment committee, investors, and board of directors
Support and drive occasional strategic divestitures
Execute on all such transactions, including the negotiation of offer terms and purchase agreements, partnering with legal counsel on approach, terms, and transaction structure
Develop and maintain a deal pipeline and manage relationships with particular targets
Engage, develop and manage key external relationships (e.g., investment banks and other channels) to support early insight to relevant opportunities as well as generate deal flow
Develops junior team through recruiting, mentoring, training and developmental opportunities
Lead and manage a team of high-level professionals in accomplishing multiple acquisition processes simultaneously.
Background
8+ years of investment banking, private equity, or corporate development experience, with a strong track record of success and solid business judgment
Demonstrated knowledge and understanding of and experience in leading teams to execute all aspects of transactions including direct experience in M&A project management, due diligence, negotiation, execution and integration.
Experience in mechanics of mergers and acquisitions with outstanding financial and LBO modeling skills (MSFT Excel and Google Sheets), with a deep understanding of M&A accounting
Exceptional communication skills, both written and oral with the ability to synthesize information and insights into MSFT PowerPoint and Google Slides.
Strong, proactive work ethic with sustainable willingness to adapt to the highly competitive, urgent, and often unpredictable nature of M&A opportunities
Strong attention to detail and advanced organizational skills
Ability to work both independently and as a team player in a fast-paced environment
Positive attitude, commitment to excellence and teamwork; able to work seamlessly with heads of functional areas across the company and around the world
Ability to analyze, interpret and utilize significant data to make sound business decisions; strong quantitative data analysis skills, including advanced Excel modeling skills.
Exceptional track record of academic achievement
Base pay range: $200,000 - $250,000, commensurate with experience.
