Corporate Counsel
Corporate Counsel handles a wide variety of legal matters for Bonterra and provides general legal support for departments throughout the company. This position will report to the Chief Legal Officer and General Counsel.
You will join a creative, collaborative, solutions-oriented team. We are looking for a proactive corporate attorney who can design effective and scalable processes while employing an empathetic interpersonal style that can build bridges across stakeholders.
Responsibilities:
  • Draft, review, and negotiate commercial agreements, and work closely with our sales organization to close deals
  • Draft, review, and negotiate a wide range of other agreements, including partnership agreements, reseller agreements, vendor agreements, and non-disclosure agreements
  • Provide practical counsel to various teams on how to comply with contractual and legal requirements
  • Develop training materials and conduct training sessions for business teams
  • Work on ad hoc legal projects, including but not limited to, new policies, templates, and procedures
  • Work with other members of the legal team to drive progress on cross-functional projects while looking for opportunities to improve processes to help the company scale
  • Research, analyze, and keep current on emerging legal issues, legislation and regulations affecting the company's business operations
  • Build and update commercial agreement playbooks for sales and procurement deals
  • Support with corporate transactional matters (M&A, financings, etc.) and corporate governance matters

Qualifications:
  • J.D. (or LL.M. plus foreign law degree) and a member of a U.S. state Bar in good standing
  • Minimum of 5 years of legal experience with a preferred combination of relevant law firm and in-house experience
  • SaaS experience preferred
  • Excellent written and verbal communication skills with the ability to break down complex legal concepts into easy-to-understand and practical advice
  • Ready to tackle projects large and small with a collaborative, low-ego approach
  • Self-starter with the ability to work independently

Compensation
The range displayed on this job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
Base pay is one part of the Total Package that is provided to compensate and recognize employees for their work, and in addition to benefits this role may be eligible for discretionary bonuses/incentives, and equity.
US base salary range: $150,000 - $250,00
