Overview

About the Role

We are looking for a Corporate Legal Manager to join our growing legal team. As a member of the legal team, you will work closely with colleagues across multiple internal functional groups on a wide range of corporate matters, including entity formation and management, securities law compliance, policy and corporate governance implementation, and regulatory filings. The ideal candidate will enjoy multitasking and working on competing priorities, be comfortable in a fast-paced environment, and be willing to take on new projects and help out where needed.

The Corporate Legal Team provides top notch service and counseling to various parts of Instacart's business. We take a practical, efficient, solution-oriented approach to everything we do and aim to build strong and trusting relationships with our team, leadership, cross-functional partners, and our board of directors. We are looking for highly motivated teammates who are ready to dig in and hit the ground running.


About the Job 

  • Coordinate and prepare for board, committee and stockholder meetings and manage distribution of pre-read deliverables. 
  • Organize and track information related to board matters, including D&O questionnaires, meeting materials, minute books and corporate records. 
  •  Provide administrative support to the team by coordinating vendor contracts, working group lists, and team budget and expenses.
  • Provide corporate support for various initiatives and strategic transactions, including project management for due diligence, data rooms, and organizing deal documents.
  • Provide assistance with forming and managing domestic and international subsidiaries, including working with our filing agent on state filings, drafting standard corporate paperwork, and managing and updating our entity management platform.
  • Partner with our global equity team and, with attorney oversight, assist with preparing and filing Section 16 reports.
  • Assist with coordinating and completing signature requests, which may include arranging notary and apostille/authentication of documents. 
  • Help to develop, implement and continually improve processes and procedures.


About You

Minimum Qualifications

  • BS or BA from an accredited university.
  • Corporate paralegal experience (or similar) at a top-tier law firm, and at least two years on an in-house public company legal team supporting corporate work and public company reporting.
  • Experience with Google Workplace (G Suite), entity management systems, Section 16 filing platforms, and board portals.

Preferred Qualifications

  • Experience supporting multinational companies with international business operations.
  • Extremely detail oriented, impressive organizational and research skills, and a practical approach.
  • A positive can-do attitude, good judgment, and the ability to effectively manage competing priorities.
  • Willingness to roll your sleeves up and take on additional projects as necessary.
  • Strong organizational and communication skills (both oral and written).
  • The ability to self-motivate and thrive in a fast-paced, rapidly changing environment, with a desire to develop better and more efficient processes.
  • California Notary Public certification is a plus.
