About The Role

Hightouch is seeking a Senior Commercial Counsel to help protect and accelerate our business. In this role you’ll partner closely with our sales team to work with some of our largest customers and potential clients and help build our legal processes so that we have a strong platform for our continued growth.

In this role we estimate that you’ll spend 60% of your time working with potential customers in late-stage negotiations (primarily MSAs and DPAs) 30% of your time collaborating internally to ensure our team + process are set-up to succeed from a legal perspective and 10% of your time working on early stage (e.g. MNDA) and vendor agreements.

What You’ll Do

  • Draft negotiate review and manage a variety of commercial agreements integral to the growth of Hightouch. In particular we’d love your expertise on Master Service Agreements and Data Processing Agreements to shine. For areas involving particular expertise we have a team of external counsel you’re welcome to collaborate with

  • Prepare implement and refine various legal templates/forms integral to our sales process

  • Develop streamlined transactional policies processes and infrastructure to ensure the timely delivery of legal resources during our sales process

  • Assist in ensuring compliance with all applicable laws regulations and standards that may affect Hightouch and its customers especially those pertaining to data security privacy and governance

  • Manage and resolve legal issues and contract interpretation matters that arise in existing commercial relationships

  • Proactively establish strong relationships with internal clients (e.g. sales engineering customer success) and enhance legal knowledge throughout the Hightouch team

  • Please note that this is not a General Counsel role - we anticipate continuing to work with an external firm for corporate matters. However we’d be more than happy for you to work closely with our external firm if this is of interest

About You

  • At least five years of post-law school experience (mix of law firm and in-house experience preferred)

  • A keen understanding and significant experience with enterprise SaaS including working with customer paper

  • Deep technical knowledge and experience with innovative software and technologies privacy data security laws and regulations coupled with an ability to effectively communicate and translate that knowledge across the company (i.e. providing legal advice in plain English)

  • Demonstrated history of developing strong working relationships with Sales Finance Engineering and other key stakeholders

  • Member in good standing of a US state bar association
