Job Description

F&G is hiring for a VP, Senior Corporate Counsel – PRT & Reinsurance. This role is responsible for providing subject matter expertise and in-house legal advice to support the company’s Pension Risk Transfer and Reinsurance & Capital Management teams.  The role is also responsible for other routine legal and administrative matters in support of the General Counsel.

This position will report to the SVP, General Counsel. The position requires interaction with personnel at all levels of the company as well as outside attorneys and regulators.

Duties & Responsibilities

Pension Risk Transfer:

  • Advise on all facets of pension risk transfer transactions, including but not limited to non-disclosure agreements, commitment agreements, group annuity contracts, certificates, and other ancillary agreements as required
  • Negotiate pension risk transfer transaction deal terms with plan counsel
  • Participate in regular meetings with company’s pension risk transfer stakeholders related to potential transactions and post-transaction integration
  • Advise pension risk transfer business stakeholders on the company’s separate account plan of operations applicable to pension risk transfer transactions
  • Oversee post-transaction group annuity contracting and certificate drafting processes
  • Review and negotiating pension risk transfer third party service provider agreements
  • Provide legal support for the company’s funding agreement backed note (FABN) program and debt transactions and ongoing maintenance related thereto.
  • Maintain industry knowledge of the current legal landscape; remains abreast of changes to applicable laws and regulations, effectively evaluates impact to business operations, and communicates appropriate actions in a timely manner
  • Assist with other investment regulatory and compliance matters and manage projects that may arise

Reinsurance & Capital Management:

  • Advise on all facets of reinsurance transactions, including but not limited to non-disclosure agreements, treaties, trust & security agreements and other ancillary agreements as required
  • Negotiate reinsurance transaction deal terms with outside counsel
  • Participate in regular meetings with company’s reinsurance and capital management stakeholders related to potential transactions and post-transaction integration
  • Advise reinsurance business stakeholders on the company’s operations applicable to reinsurance transactions
  • Oversee post-transaction processes
  • Maintain industry knowledge of the current legal landscape; remains abreast of changes to applicable laws and regulations, effectively evaluates impact to business operations, and communicates appropriate actions in a timely manner
  • Assist with other reinsurance related regulatory and compliance matters and manage projects that may arise

Special Projects:

  • Manage, complete and/or provide assistance to the VP, Deputy General Counsel on special departmental and corporate projects as needed
  • Act as the law department liaison to coordinate and facilitate resolution of legal matters and corporate projects as needed

Experience & Education Requirements

  • Law degree from a nationally accredited law school
  • Minimum of 15 years legal and/or compliance experience in the financial services industry, including experience in and knowledge of corporate or transactional matters as well as regulatory compliance
  • Knowledge of life and annuity business is preferred

  • Ability to work in a dynamic, fast-paced environment and to effectively adapt to change
  • Ability to perform in a fast-paced environment while addressing multiple projects and responsibilities
  • Demonstrated strong organizational and analytical skills
  • Must possess strong research skills and proficiency in Lexis Nexis
  • Must be proficiency in Microsoft Office applications, spreadsheets and presentation software
  • Strong interpersonal skills necessary to maintain effective working relationships with senior management, employees at all levels, outside attorneys, agents, state insurance department personnel, etc.
  • Excellent writing and oral communication skills
  • Willingness to work in a collaborative environment
  • Ability to organize and complete work with a minimum degree of supervision
  • Willingness to actively participate in meetings, decision making, etc.

  • Regular and punctual attendance
  • Ability to travel (up to 10%) as needed to accommodate business needs and deliverables
  • Must be able to work in an office environment
