ABOUT THE FLOCK

The People & Culture team at bluebird is all about supporting our fellow birds. The Associate Director, Equity Administration & P&C Operations will be responsible for managing all aspects of Equity Administration for bluebird’s equity compensation program and for leading all aspects of People & Culture Operations (HCM data and systems management) as the primary contact for all inquiries and requests regarding equity and P&C Operations. The role requires unwavering attention to detail, meticulous organization skills, and a strong desire and ability to work within a dynamic environment with the expectations of the role consistently growing and expanding. The ideal candidate will be a highly motivated self-starter with excellent communication skills. In addition, a strong general understanding of global stock plans/awards and proficiency in Word/Excel are critical to success in this role. HOW YOU’LL FLY

You'll help to bring more patients their bluebird days by:

  • Leading and managing all aspects of bluebird’s equity plan, including but not limited to: 
      • Processing new equity awards, as well as handling cancellations due to terminations and modifications 
      • Managing the Employee Stock Purchase Plan and reviewing associated payroll deductions for each pay-cycle 
      • Ensuring equity system is up to date in terms of internal access, as well as employee data, and tax rates 
      • Processing option exercises including 10b5-1 transactions, ensuring accurate and timely tax withholding and reporting to payroll, all the way through to timely settlement of all trades 
      • Managing vesting and release of restricted stock units and performance-based restricted stock units, coordinating with payroll and external broker contacts on accurate tax withholding 
      • Developing materials & employee communications and conduct employee trainings 
      • Working closely with People & Culture and Legal team to ensure new equity awards are properly approved based upon grant guidelines approved by the Compensation Committee of the Board of Directors 
      • Performing monthly, quarterly, and yearly reconciliation of records between Equity Administration and People & Culture, Finance, etc. in a timely manner 
      • Working with external auditors, People & Culture and Finance team for quarterly reviews, year-end audits, as well as ensuring effective internal controls are in place and procedures are followed to satisfy periodic review of compliance with Sarbanes-Oxley. 
      • Providing support for equity related disclosures in annual and quarterly SEC filings and may assist with project management for annual Proxy preparation. 
  • Leading People Operations to ensure compliant maintenance and processes related to HCM system of record (Oracle) and other P&C systems, identifying ways to automate and/or streamline required tasks and processes. 
  • Being responsible for annual reporting forms required by tax authorities and year-end tax statements forms required by tax authorities and year-end tax statements 
  • Partnering with various departments, including People & Culture, Finance, and Legal on equity compensation matters, including tax calculations related to option exercises, RSU vesting  
  • Responding to equity and operational-related inquiries from employees and others 
  • Ensuring operating procedure documents are developed and maintained, including the creation of new or modified procedures when appropriate
  • Maintaining automated data transfers and seeking additional automation opportunities
  • Working closely with outside service providers, such as our equity systems vendor and transfer agent 

 

WHAT YOU’LL BRING

You’re the bird we’re looking for if you have:

  • Bachelor’s degree or equivalent experience with 5+ years of stock plan administration experience 3+ years of People & Culture (HR) Operations experience 
  • Certified Equity Professional (CEP) Level I or Level 2 is a plus
  • Experience with supporting an equity administration system (Morgan Stanley is a plus)
  • Experience managing HCM system of record and associated processes (Oracle is a plus)
  • High level of proficiency working with MS Office 365 Suite with strong Excel skills, experience developing complex analyses with VLOOKUP, pivot tables and/or macros as needed
  • Capacity to perform self-audit to ensure data integrity and utmost accuracy at all times
  • Experience providing regular communication to employees regarding equity & operational programs, resolving questions, issues, or concerns to support employee understanding of equity awards and company programs and policies
  • Working knowledge of SEC Exchange Act Section 16 and related rules and forms
