We are looking for an expert Contract and Procurement Partner who will work within the Legal team to support continued business growth. This role is responsible for the administration of documents that establish business relationships with vendors, customers and/or partners. The Contract and Procurement Partner is highly collaborative with partners as a representative of the Jama Software legal team; assisting partners in reaching resolution while also ensuring compliance with policies and standard methodologies. What You'll Do: 
  • Drafting, evaluation, and negotiation of assigned contracts in accordance with legal department policies and practices: Non-disclosure Agreements, Sales and Purchasing Agreements, Sub-contracts, Consulting Agreements, Licensing Agreements, SaaS Agreements, Master Agreements, review of customer or vendor proposed terms and conditions; Distribution Agreements (resellers, agents, joint marketing etc.); Commercial and Public (Federal, State, and Local Municipalities) Contracting; and Privacy Agreements such as DPAs. 
  • Work closely with internal team members to evaluate and select vendors and negotiate appropriate contracts, ensuring consensus is met and all vital approvals of terms are acquired in a timely manner. 
  • Clearly explain contract terminology and interpretation to team members in simple, everyday language.
  • Maintain contractual records and documentation such as receipt and control of all contract correspondence, contractual changes, and other documents for all projects.
  • Follow procedures for contract management and administration in compliance with company policy.
  • Supervise and report to legal department leadership on satisfaction with our terms and conditions and contracting practices.  
  • Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, and interpretation to support implementation.
  • Monitor vendor performance for compliance with terms and privacy regulations.
  • Maintain and update data privacy maps based on vendor relationship changes.
  • Work with IT, Security, and General Counsel to make sure that vendors are contractually obligated to enforce appropriate privacy and data security requirements. 
What You'll Bring: 
  • Bachelor’s degree from an accredited college or university, paralegal certificate, JD, or equivalent experience. 
  • 3+ years of experience in procurement, contract administration, or a related field, including data privacy experience.
  • Understanding of GDPR, CCPA, and other relevant privacy laws.
  • Knowledge of procurement processes, contract negotiation, and interpretation.
  • Proficiency in Microsoft Office products.
  • Excellent verbal, written, and interpersonal communication skills.
  • Meticulous, organized, and detailed.
  • Strong analytical, negotiation, and problem-solving skills.
  • Ability to work independently and prioritize effectively. 
Nice to Have: 
  • Experience in the software industry corporate contract or legal department. 
  • Experience with Salesforce, Lexion, and Jira.
