About the role:

We are looking to expand our in-house legal team with a versatile corporate lawyer.  The ideal candidate will enjoy being a key contributor on a range of general corporate matters, including securities, corporate governance, investments, M&A transactions and compliance, as well as helping to build out a best-in-class corporate legal function for a rapidly growing global business.  The role requires the ability to collaborate closely with cross-functional partners in finance, investor relations, corporate development and equity administration (among others) and to provide clear, business-oriented and proactive advice.  Our most successful team members have a growth mindset, with the desire and flexibility to work on matters both in and outside of their areas of expertise and to adapt to evolving business priorities.

In this role, you will: 
  • Review and draft SEC filings, including 10-Ks, 10-Qs, 8-Ks, and Section 16 filings, and advise on questions related to securities law compliance 
  • Advise and drive process on all legal aspects of strategic and corporate finance transactions, including structuring and negotiating key transaction documents, managing due diligence, drafting offering documents and preparing securities filings  
  • Support executive, director and equity compensation program design, implementation and administration, including related registration, listing and disclosure requirements
  • Assist in drafting the annual meeting proxy statement and preparation for our annual meeting of stockholders
  • Advise on various corporate governance matters and drive coordination and preparation of content (including agendas, presentations, resolutions and minutes) for Board of Directors and Committee meetings
  • Stay current with SEC regulations and corporate governance trends and best practices, and provide forward-thinking and actionable advice to key stakeholders 
  • Help to grow and scale a best-in-class corporate legal function, build internal relationships, and drive strategy across multiple functions
  • Champion, role model, and embed Samsara’s cultural principles (Focus on Customer Success, Build for the Long Term, Adopt a Growth Mindset, Be Inclusive, Win as a Team) as we scale globally and across new offices

Minimum requirements for the role:

  • 5+ years of general corporate experience (including securities, corporate governance, and/or M&A) in a law firm or in-house position, with prior in-house experience at a technology company preferred
  • Outstanding communication (both written and verbal) and interpersonal skills
  • Interest in being a true partner to our business stakeholders and learning about the ins and outs of our business and the industry in which we operate
  • Ability to build and maintain strong cross-functional relationships
  • A high degree of professional integrity, ethics and sound judgment 
  • Be a highly proactive self-starter who delivers quality work on time
  • Be humble, adaptable and flexible, with a growth mindset and desire to work on a variety of matters
  • J.D. from an accredited law school with strong academic credentials
  • Membership in at least one U.S. state bar
