Human Interest is looking to add a talented and motivated corporate attorney to join its growing legal and compliance team. In this role, you will have the opportunity to make a significant impact at a leading fintech startup. Reporting to the Senior Counsel, Corporate and Commercial, this role will be a key partner for all corporate affairs. You will work on a broad range of legal projects with a focus on corporate governance. You will collaborate with business teams across the organization to manage, negotiate and execute on a broad range of corporate and commercial initiatives and the organization’s day-to-day operational needs and strategic priorities.

U.S. West Coast locations are preferred, but Human Interest will consider other U.S. locations. 

What you get to do every day

  • Advise on matters including governance, securities, financing (debt and equity), compensation programs, financial audits, M&A, joint ventures, subsidiary maintenance, and general corporate matters
  • Be responsible for corporate recordkeeping, board resolutions and minutes, investor reporting, due diligence projects, and equity plan administration
  • Partner in the creation, review, and maintenance of our governance, ethics, and compliance policies and trainings
  • Partner with Legal, Finance, and People team members to establish processes and identify risks and opportunities in legal strategy
  • Advise and assist on a broad range of adjacent legal projects and matters as needed, including those relating to real estate leases and tax
  • Assist with drafting and negotiating commercial (customer and vendor) contracts as needed

What you bring to the role

  • JD from a top tier law school, member in good standing of a state bar (NY or CA preferred)
  • A minimum of three years of corporate governance and securities experience at a medium or large law firm and/or an in-house legal department 
  • Strong understanding of both private company transactions and public company reporting
  • Diligent with excellent legal judgment and strong communication, time management, and organizational skills
  • Analytical mindset and impeccable attention to detail
  • Demonstrated ability to perform and thrive in a rapidly changing, fast paced environment
  • Flexibility and creativity, with the initiative to work through multiple solutions to issues and proactively and reliably drive projects forward
  • Able to excel both independently and in a team environment
  • Passion for a data-driven approach to building efficient processes and operations
  • Willingness to collaborate, learn, share knowledge, respond quickly to urgent matters, and execute proactively

Compensation - The salary range target for the role seniority described in this job description is $165,000 - $205,000. Final offer amounts depend on multiple factors including candidate experience and expertise, geographic location, compensation/equity mix, and market data. This position may also be eligible for additional incentives such as equity awards, short-term incentives, or sales compensation.
