This position is posted by Jobgether on behalf of a partner company. We are currently looking for a Counsel – Equity Management in United States.

This role plays a key legal and strategic function within a fast-growing wealth management organization, supporting the design, implementation, and governance of equity compensation programs. The Counsel – Equity Management will ensure that all equity-related structures, transactions, and documentation comply with applicable securities laws and regulatory frameworks while aligning with business objectives. The position works cross-functionally with Legal, Finance, HR, Payroll, and external counsel to manage equity programs across their full lifecycle. It also plays a forward-looking role in integrating and overseeing the use of AI tools within equity administration processes. The role requires strong expertise in securities law, equity compensation structures, and corporate governance in a private company environment. Operating in a fully remote and collaborative setting, this position combines legal advisory work with operational execution and strategic program development.

Accountabilities:

  • Serve as the legal lead for equity compensation and equity management matters across the organization.
  • Oversee compliance for equity programs, including incentive units, profits interests, and other equity-based arrangements.
  • Advise on the design, implementation, and administration of equity compensation structures aligned with business and regulatory requirements.
  • Partner with Finance, HR, Payroll, and Equity Administration teams to ensure accurate equity grants, vesting, settlements, and related processes.
  • Provide legal interpretation of equity agreements, LLC provisions, and related documentation.
  • Ensure compliance with securities laws, including SEC regulations, exemptions, and reporting obligations such as Form D filings.
  • Support equity-related aspects of M&A transactions, including due diligence, structuring, and integration of equity awards.
  • Draft, review, and maintain equity plans, award agreements, subscription documents, and internal legal templates.
  • Manage relationships with external counsel and support regulatory monitoring and risk mitigation efforts.
  • Contribute to broader legal initiatives, including governance, compliance updates, and leadership reporting on equity program developments.
  • Requirements

    • Juris Doctor (JD) degree from an accredited law school and active U.S. bar membership.
    • 4–8 years of legal experience in securities law, corporate law, and equity compensation, in law firm or in-house environments.
    • Strong knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, and related SEC rules and exemptions.
    • Experience drafting and negotiating equity plans, award agreements, and private company equity documentation.
    • Solid understanding of equity compensation structures in private company or financial services environments.
    • Strong analytical skills with the ability to manage complex legal and cross-functional initiatives.
    • Excellent communication, negotiation, and stakeholder management skills.
    • Ability to balance legal risk with practical, business-oriented solutions.
    • Strong organizational skills and ability to manage multiple priorities in a fast-paced environment.
    • Experience with or interest in technology-enabled legal or equity administration tools is a plus.
