Position Description
Origis Energy is seeking an experienced M&A Manager or Director to support in the execution of the company’s utility scale solar and energy storage business growth strategies. The ideal candidate will have a proven track record of sourcing, evaluating, structuring, negotiating, and closing attractive project and portfolio acquisitions.
The position will serve an integral role with a high performing M&A team responsible for all aspects of profitable growth and expansion via mergers and acquisitions. The role provides an opportunity to join a leading, vertically integrated renewable energy developer with an extensive and growing pipeline of utility scale solar and energy storage projects.
The M&A Manager or Director reports to the Head of M&A and is a regular, full-time position, and is eligible for our generous employee benefits package, including employer paid health insurance, paid time off, a 401(k) plan with employer matching contributions, and other great benefits.
Key Responsibilities
- Support M&A team in the origination, analysis, structuring, documentation and execution of third-party solar project and portfolio acquisitions.
- Manage external Data Room, Q&A and DD budget for active acquisition processes.
- Support M&A lead in project due diligence across various functional areas including EPC, O&M, asset management, interconnection, real estate, permitting and environmental, and insurance.
- Run financial analysis to support M&A team in development of the appropriate strategy for a given transaction.
- Assist in preparing presentations and analysis necessary to obtain internal investment committee and BOD approvals.
- Assist in preparing pipeline reporting, as well as department budgets, forecasts, and acquisition financing needs.
- Support M&A team in communicating with in-house deal teams and external counsel and consultants.
- Communicate with other departments including Development, EPC, Project Finance and Accounting on transaction details as part of deal analysis.
- Perform various internal administrative functions which are required to support the acquisition and post-close finance and accounting requirements of projects.
Preferred Qualifications
- Bachelor’s degree in finance, economics, business administration or other relevant field.
- 5+ years of experience in M&A, project finance, development and/or origination in the renewables industry is required.
- Familiarity with solar financing structures including partnerships, leases and secured debt structures.
- Experience in solar and a network amongst active developers in the industry.
- Experience performing modeling and the understanding of financial concepts.
- Understanding of PPA's, leases and other project financing legal arrangements.
- Strong math and modeling skills.
