This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Contracts and Legal Manager based in Canada.

This role sits at the core of a global commercial operations function, ensuring contracts are structured, negotiated, and managed in a way that enables sustainable business growth while controlling legal and commercial risk. You will work across complex client, partner, and supplier agreements in a fast-moving international environment. The position combines hands-on contract negotiation with strategic advisory responsibilities, supporting both day-to-day deal execution and high-impact commercial initiatives. You will collaborate closely with sales, finance, legal operations, and executive stakeholders to ensure alignment between business goals and contractual execution. This is a highly visible role where your decisions directly influence deal velocity, compliance, and operational scalability. It also offers exposure to cross-border engagements across North America and beyond, within a remote-first and collaborative culture. You will play a key role in improving contract processes, governance, and tooling in a technology-driven organization.

Accountabilities:

  • Lead the review, drafting, and redlining of a wide range of commercial contracts (NDAs, MSAs, SOWs, SaaS agreements, procurement and vendor contracts), ensuring accuracy, compliance, and risk mitigation.
  • Independently negotiate contractual terms with clients, partners, and suppliers while balancing commercial objectives with legal safeguards and organizational policies.
  • Provide senior-level guidance on complex or high-value agreements, including recommendations on contract approvals and escalation to leadership when required.
  • Manage contract lifecycle activities, ensuring accurate documentation, structured record-keeping, and effective use of internal contract management systems.
  • Collaborate with legal operations and cross-functional teams to improve workflows, templates, playbooks, and contract governance processes.
  • Conduct peer reviews of contract redlines and support continuous quality improvement across the broader contracts function.
  • Contribute to strategic initiatives such as acquisitions, partnerships, and enterprise deals, ensuring contractual integrity and alignment with business strategy.
  • Evaluate and support the adoption of tools and technologies, including AI-enabled solutions, to enhance contract efficiency and decision-making.
  • Requirements

    This role requires strong experience in contract management within commercial, legal, or procurement environments, with proven ability to independently manage end-to-end negotiations. Candidates should bring at least 5 years of relevant experience (or equivalent legal qualification with 3+ years in contracts work), along with strong analytical, communication, and stakeholder management skills. You should be comfortable operating in fast-paced, cross-functional, and geographically distributed environments, with a strong ability to balance detail orientation and commercial awareness.

    • Strong experience in drafting, reviewing, and negotiating commercial contracts across sales, SaaS, or procurement contexts
    • Ability to independently lead contract negotiations and engage confidently with senior internal and external stakeholders
    • Solid understanding of commercial risk assessment, contract structuring, and legal/compliance considerations
    • Experience working with enterprise tools (e.g., Jira, Excel/Google Sheets, contract management systems, CRM platforms)
    • Strong analytical mindset with the ability to identify inefficiencies and improve contract processes
    • Excellent written and verbal communication skills in English, with the ability to simplify complex legal concepts
    • High attention to detail, strong organizational skills, and ability to manage multiple priorities under deadlines
    • Exposure to cloud, data privacy, IP, or software licensing agreements is a strong advantage
    • Familiarity with SaaS, cloud computing, or global technology environments is highly valued
